藍海華騰(300484.SZ)與比亞迪微電子簽署戰略合作框架協議
格隆匯11月22日丨藍海華騰(300484.SZ)公佈，公司與深圳比亞迪微電子有限公司(“比亞迪微電子”)於2019年11月20日簽署《戰略合作框架協議》。
比亞迪微電子是比亞迪集團旗下的獨立子公司，於2004年開始致力於集成電路及功率器件的開發，並提供產品應用的整套解決方案。比亞迪微電子通過不斷完善產品線，立足自主研發，結合國際先進技術，從最早的鋰電池保護芯片及功率MOSFET，逐步擴展到功率半導體器件、IGBT功率模塊、電源管理IC、CMOS圖像傳感器、指紋識別芯片、觸摸控制IC、LED、智能安防監控等多個產品線，應用領域覆蓋了對光、電、磁等信號的感應、處理及控制。目前比亞迪微電子產品已廣泛應用於汽車、能源、工業、通訊和消費類電子多個領域。
比亞迪是國內率先實現車用IGBT芯片自主研發的企業。2009年，比亞迪自主研發的IGBT芯片正式通過國家科技成果鑑定，標誌着中國在IGBT芯片技術上實現零的突破。比亞迪是國內唯一擁有IGBT全產業鏈的車企，包含芯片設計製造，模組設計製造，測試應用平台，以及整車應用。
深圳市藍海華騰技術股份有限公司(“甲方”)與深圳比亞迪微電子有限公司(“乙方”)本着平等互利原則，經友好協商，就電機控制器單元、集成式電控、IGBT模塊及晶圓、SiC模塊及晶圓、電流傳感器等產品的應用與推廣達成合作共識，共同擬定戰略合作框架協議書。
此次合作宗旨為通過雙方緊密合作，打造雙贏、可持續發展的戰略合作伙伴關係。此戰略合作，旨在幫助雙方進一步提升整體運營效率、降低運營成本，實現雙方未來的市場擴張策略並獲得市場份額，並且為雙方合作創造更大的商業價值。合作目的及範圍如下：
1)戰略性業務合作的目標是，雙方作為戰略性合作伙伴，共同打造最具競爭力的產品(甲方產品：電機控制器單元、集成式電控；乙方產品：IGBT模塊及晶圓、SiC模塊及晶圓、電流傳感器、MCU、IPM)；
2)在實施戰略性業務合作之前，雙方將對戰略合作的理念、合作範圍、合作的實際利益、各方承諾事項等進行明確；
3)雙方將繼續探討戰略合作各項目的具體事宜，設定具體的且可進行檢驗的目標，並就各項目簽訂具體的合作協議、訂單等有關文件。
該協議的簽署旨在充分發揮雙方各自優勢，資源共享，協同合作，相互扶持，全面提高服務質量和運營效率，降低運營成本，增強市場綜合競爭力，互利共贏。
公司與比亞迪微電子開啟戰略合作，有利於實現公司向上遊核心原材料如IGBT模塊及晶圓、SiC模塊及晶圓等關鍵技術領域的戰略延伸，實現成本優化控制和原材料供給保障，此外，雙方合作有利於公司在電動汽車電機控制器及相關產品的技術推動和產業佈局。
此次簽署的協議僅為戰略合作框架協議，合作事項的具體約定和實施需雙方另行簽署相關協議，目前無法準確預測該協議對公司本年度財務狀況、經營成果的影響。但協議的具體落地實施有助於公司業務、技術的進一步拓展和提升，對公司未來發展產生積極影響，符合公司長期發展戰略和全體股東的利益。
