博士眼鏡(300622.SZ)終止對外投資設立產業投資基金
格隆匯11月20日丨博士眼鏡(300622.SZ)公佈，2019年5月9日，公司召開第三屆董事會第十四次會議，審議通過了《關於公司對外投資設立產業投資基金的議案》，同意公司與深圳市前海九派資本管理合夥企業(有限合夥)(“九派資管”)共同發起設立甌海九派博士股權投資合夥企業(有限合夥)(“投資基金”，最終以工商核准登記為準)，投資基金投資方向為眼鏡及視光領域等相關產業鏈上下游優質、成長性企業，關注互聯網、新零售等新興產業方向。投資基金募集規模2億元。出資以現金方式分期繳付，九派資管及其關聯方合計認繳基金出資人民幣不低於3000萬元且不超過6000萬元，佔投資基金出資總額比例不超過30%；公司認繳基金出資人民幣不低於2000萬元且不超過4000萬元，佔投資基金出資總額比例不超過20%；剩餘出資對外募集。第一期出資總額為人民幣1億元，其中，九派資管及其關聯方合計認繳基金出資人民幣不超過3000萬元；公司認繳基金出資人民幣不超過2000萬元；剩餘出資對外募集。
2019年5月9日，公司與九派資管及温州市甌海區人民政府簽訂《甌海九派博士產業投資基金合作框架協議》(“合作框架協議”)。投資基金採用有限合夥企業形式註冊設立，並在浙江省温州市甌海區辦理工商登記。投資基金名稱暫定為“甌海九派博士股權投資合夥企業(有限合夥)”(具體以工商核准登記為準)。投資基金擬募集總規模為人民幣2億元。投資基金投資方向為眼鏡及視光領域等相關產業鏈上下游優質、成長性企業，關注互聯網、新零售等新興產業方向。投資區域主要為中國境內，管理人優先篩選甌海本地有潛力的優秀企業。合作框架協議自簽署之日起6個月，有效期內投資基金有限合夥企業未工商登記註冊成立的，則協議在上述期限到期之日自動解除。如未能設立基金的，協議三方均不承擔違約責任、締約過失責任及其他相關責任。
公司與合作方進行了充分的溝通和協商，截至2019年11月9日，合作框架協議合同期限已屆滿，各方就合作方案未能達成一致，投資基金有限合夥企業亦未能如期完成工商登記註冊，合作框架協議已到期自動解除。公司擬就合作事宜與合作方繼續磋商討論，將根據事項進展情況及時履行相應程序和信息披露義務。
根據《關於設立“甌海九派博士股權投資合夥企業”的合作協議》和《合作框架協議》的約定，截至2019年11月9日，前述協議的有效期已滿6個月，投資基金有限合夥企業亦未能如期完成工商登記註冊，前述協議已到期自動解除。經相關各方協商一致，決定終止該產業投資基金項目。
公司正就合作事項與合作方繼續在磋商討論，後期將按照相關規定要求及時履行相應程序和信息披露義務。
截至公告日，公司尚未就產業投資基金實際出資，不會對公司的財務狀況和生產經營活動產生實質性影響，不存在損害公司及股東利益的情形。
