三夫户外(002780.SZ)擬3050萬元增持上海悉樂股權至77%
格隆匯11月19日丨三夫户外(002780.SZ)公佈，公司與上海悉樂、上海悉地於2019年11月18日簽署了《關於上海悉樂文化發展有限公司之股權轉讓協議》，公司擬以自有資金3050萬元受讓上海悉地所持有上海悉樂22.2222%的股權。股權轉讓完成後，公司合計持有上海悉樂77%的股權。
上海悉樂是一家以親子户外樂園規劃設計、運營管理、品牌輸出為主業，基於親子客羣户外出行需求延伸户外產品銷售、户外教育服務等多業務為支撐，着力構建集“生態、娛樂、教育、親子”等理念於一體的户外樂園運營管理公司。目前，上海悉樂已分別在成都市、武漢市和鄭州市周邊成功投資、建設、運營三家分別佔地300畝、500畝和200畝以原創性松鼠形象為核心IP的“松鼠部落”親子户外樂園，面向3-12歲親子客羣提供户外玩樂和教育體驗服務，項目內容涵蓋攀爬類、穿越類、感官類、跳躍類、速降類、迷宮類等眾多細分板塊。
成都“松鼠部落”親子户外樂園位於成都市天府新區，於2016年10月1日正式開業，目前已累計接待親子羣體近150萬人次，已成為成都周邊最受歡迎的親子户外玩樂首選目的地之一，在成都市場擁有良好的品牌美譽度和知名度。
武漢“松鼠部落”親子户外樂園位於武漢市江夏區，一期以森林為主題的户外親子樂園於2018年10月1日正式開業，林中玩樂項目豐富，二期以水為主題的親子户外樂園於2019年7月25日正式開業，目前，已累計接待親子羣體約50萬人次。
鄭州“松鼠部落”親子户外樂園位於鄭州市滎陽市，於2019年10月1日正式開業，在原有户外體驗項目基礎上進行升級更新，引進了國內外更多、更強的運動性玩樂項目，目前已累計接待親子羣體近15萬人次。
截至2018年12月31日及2019年6月30日，上海悉樂資產總額分別為8051.49萬元，8558.10萬元；歸屬於母公司的淨資產分別為4865.42萬元及7594.36萬元。於2018年1-12月及2019年1-6月，上海悉樂營業收入分別為2225.51萬元及1072.96萬元；歸屬於母公司的淨利潤分別為388.35萬元及123.41萬元。
公司收購上海悉地股份後，上海悉樂只有投資控股方(三夫户外)和運營團隊(成都樂投幫)持股，股東結構和持股比例合理，有利於快速將“松鼠部落”親子户外樂園發展到全國連鎖的規模，從而聚集起數百萬上千萬親子家庭客羣，進而把樂園經營延伸到自然教育、户外運動培訓、冰雪技能培訓、親子青少年户外運動裝備等領域，與公司原有業務深度融合形成既自成一體又相互融合的新的主營業務發展方向。
