諾普信(002215.SZ)：將對雲南華雲金鑫存續分立 將不涉及工業大麻業務等分立出去
格隆匯11月18日丨諾普信(002215.SZ)公佈，公司(“甲方”)與雲南誠邦富吉生物科技有限公司(“雲南誠邦富吉”或“乙方”)、雲南華雲金鑫生物科技有限公司(“雲南華雲金鑫”或“丙方”)於2019年4月16日簽訂《股權轉讓及增資擴股合作框架協議》。
現經各方充分友好協商，甲、乙雙方一致同意對丙方進行存續分立，丙方按照工業大麻項目與燃料乙醇項目進行剝離處理，將不涉及工業大麻的資產、債務及相關資源、責任義務等分立出去，形成新公司(“新公司”)。分立後丙方(“老公司”)僅保留工業大麻業務及對應的儀器設備資產、工業大麻種植許可資質、加工許可資質等全部相關證照資產、涉及工業大麻的負債、以及與工業大麻生產經營管理團隊等相關資源和權利。
丙方分立完成後，甲方擬以人民幣2000萬元增資老公司，乙方自願放棄本次優先增資認購權。增資完成後，甲方持有老公司20%股權，乙方持有老公司80%股權。各方同意，甲方增資款項僅用於工業大麻種植、花葉的收購和加工、工業大麻業務運營。
此次投資是公司對工業大麻產業堅定、穩健、長期地戰略布局之一。根據過去一年多來，公司專業團隊國內外調研及實際推動研究和運營工作，我們判斷工業大麻是一個前景極其廣闊的新興產業，其在醫藥、保健、日化、食品、動物食品藥品等領域具有巨大應用價值。但是，工業大麻國內的政策、技術、市場尚不成熟，尤其是終端產品的市場開拓和廣泛應用還有較長一段路要走。因此，經公司研究決定，對於工業大麻的產業佈局應該採用堅定、穩健、長期的發展策略。
此次在雲南的業務佈局中，雲南華雲金鑫公司包含燃料乙醇和工業大麻兩個核心業務，由於燃料乙醇並非公司的戰略主航道，公司與控股方雲南誠邦富吉友好協商，對雲南華雲金鑫進行存續分立，存續分立後的老公司聚焦工業大麻業務。
公司擁有工業大麻研發和生產的核心技術，已組建專業技術團隊，計劃依託雲南華雲金鑫公司的種植和生產加工資質，充分發揮公司在栽培種植、藥物提取及終端產品開發和運營的能力和優勢，深入與合作方、投資方密切合作。
同時，公司已於2019年4月16日與黑龍江科學院簽訂了戰略合作協議。目前已啟動五個核心研究課題：漢麻有效成分的分離鑑定及高值化應用研究；漢麻仁蛋白功能性評價與高價值食品開發；漢麻南繁及漢麻、豆、果輪作與間作模式的研究；漢麻種質資源及品種間親緣關係研究；漢麻全球全產業鏈技術情報分析與研究。
另外，公司還派遣專業團隊在北美、非洲等地進行工業大麻產業的廣泛調研，積極尋求本地合作伙伴進行國際佈局。
基於上述戰略佈局和實際工作，公司規劃未來2-3年，致力深度打造工業大麻產業領域裏，從品種繁育、栽培種植、加工提取到終端產品應用的單一作物產業鏈模式，同步雲南、黑龍江和國際的佈局，積極穩健地開展運營工作，為公司培育一個新的戰略核心增長點。
公司這一穩健戰略佈局策略可以較好地迴避風險，同時，由於前期聚焦於研發和戰略佈局，對公司短期業績不會產生明顯影響，請投資者注意投資風險。
