英飛拓(002528.SZ)：控股股東擬變更為深投控 明起復牌
格隆匯11月18日丨英飛拓(002528.SZ)公佈，公司於2019 年11 月18日收到控股股東JHL及實際控制人JEFFREY ZHAOHUAI LIU(中文名：劉肇懷)的通知，JHL、劉肇懷與深投控簽署了《股份轉讓協議》，JHL擬向深投控協議轉讓其持有的英飛拓約5993.38萬股股份，佔英飛拓總股本的5.00%。每股轉讓價格為人民幣5.73元，轉讓價款為人民幣約3.43億元。同時除《股份轉讓協議》另有約定外，JHL無條件且不可撤銷地承諾放棄行使所持有的約1.46億股公司股份(佔目前公司總股本為12.16%)的表決權，也不委託任何其他方行使該等股份的表決權。若《股份轉讓協議》實施完成後，英飛拓的控股股東、實際控制人將發生變更。
JHL及實際控制人劉肇懷為更有效支持公司的良好發展，強化英飛拓的戰略支撐，加快產業和資本的融合，維護公司及股東利益，JHL擬向深投控轉讓其所持有的英飛拓部分股份，同時承諾放棄行使部分表決權。深投控擬從JHL受讓公司部分股份，以實現取得公司控制權。
深投控立足深圳城市發展戰略，着力構建投資融資、產業培育、資本運營三大核心功能，擔當政府與市場之間的橋樑，成為全球創新要素資源聚合平台。緊緊圍繞科技創新，重點打造科技金融、科技園區、科技產業三個產業集羣，服務深圳現代化國際化創新型城市建設。
未來公司和深投控將在智慧園區建設、粵港澳大灣區建設、與深投控和深國資體系內的公司合作、資金支持等方面密切合作，實現強強聯合，共贏未來。
公司控股股東及實際控制人變更，進一步優化了公司股權結構，有利於公司與股東優勢資源之間協同和發展，不會對公司生產經營、財務狀況、償債能力產生不利影響。
公司目前控股股東為JHL，實際控制人為劉肇懷。若股份轉讓最終完成，JHL放棄部分表決權，公司的控股股東及實際控制人將發生變更。
經向深圳證券交易所申請，公司股票自2019年11月19日(星期二)開市起復牌。
