凱撒旅遊(000796.SZ)：海航集團及海航旅遊完成解決同業競爭承諾
格隆匯11月15日丨凱撒旅遊(000796.SZ)公佈，公司於近日收到海航旅遊集團有限公司(“海航旅遊”)及海航集團有限公司(“海航集團”)關於公司2015年重大資產重組作出的有關解決同業競爭承諾的進展通知。
海航集團有限公司、海航旅遊集團有限公司關於解決同業競爭的承諾：
“本次交易完成後，海航集團/海航成員單位下屬尚有6家公司與凱撒同盛在業務上存在一定程度上的同業競爭(以下合稱“涉及同業競爭企業”)。就該等涉及同業競爭企業，海航集團已與凱撒同盛簽署《海航集團有限公司與凱撒同盛(北京)投資有限公司股權託管協議》，將海航成員單位持有的涉及同業競爭企業的股權全部託管給凱撒同盛，前述協議的簽署及履行有助於解決凱撒同盛與海航集團未來可能產生的同業競爭問題，託管期間，託管企業將與凱撒同盛不產生實質性同業競爭，符合凱撒同盛及其全體股東的利益，不會損害非關聯股東的利益。同時，海航集團/海航旅遊將促使該等企業和/或其股東在本次交易完成後承諾的期限內，依法通過關停、註銷或者對外轉讓股權給無關聯第三方的方式最終解決同業競爭，從而保障上市公司的利益。具體解決方案為：(1)在本次交易完成後48個月內，大新華國際會議展覽有限公司將通過關停方式解決同業競爭；(2)在本次交易完成後24個月內，海航成員單位將持有的海南樂遊國際旅行社有限公司、北京新旅國際旅行社有限公司和山西幸運樂遊國際旅行社有限公司的控股股權全部轉讓給無關聯第三方；(3)在本次交易完成後24個月內，海南美蘭機場旅遊服務有限公司(原名為海南美蘭機場國際旅行社有限責任公司)、吉林省旅遊集團天瑪商務服務有限公司(原名為吉林省旅遊集團天馬國際商務旅行社有限公司)將其旅行社業務進行關停，註銷旅行社業務資質，並同步修訂公司經營範圍，今後不再以任何方式經營與上市公司主營業務產生競爭關係的業務或經濟活動。除前述涉及同業競爭企業外，本次交易完成後，海航集團/海航旅遊自身及海航成員單位不存在其他與上市公司存在同業競爭的情形。”
2019年11月12日，大新華國際會議展覽有限公司已收悉北京市朝陽區市場監督管理局下發《註銷核准通知書》，該企業已完成註銷程序，故此針對大新華會展解決同業競爭的承諾已履行完畢。
綜上，截至公司公告披露日，海航集團及海航旅遊關於解決同業競爭的承諾已全部履行完畢。
