眾信旅遊(002707.SZ)擬投資設立粵珠保理公司
格隆匯11月15日丨眾信旅遊(002707.SZ)公佈，2019年11月15日，公司第四屆董事會第二十六次會議全票通過了《關於投資設立商業保理公司的議案》，同意公司作為發起人在廣州市越秀區民間金融街投資設立粵珠商業保理有限公司(公司名稱最終以市場監督管理部門核准的名稱為準，“粵珠保理公司”)，經營範圍為商業保理業務，註冊資本(出資額)為人民幣5000萬元，公司將持有其100%股權。
粵珠保理公司將本着“依法合規經營、嚴格控制風險”的基本原則，以旅遊行業為核心場景，依託於眾信旅遊集團的產業優勢專注於服務境內外旅遊企業，通過經營地接款、機票代理、景區門票、酒店包租、遊輪包位、旅遊團款(針對企業會議旅遊、獎勵旅遊等應收賬款)等保理業務，利用豐富的投融資經驗和結構設計能力，為客户提供與應收賬款相關的諮詢、顧問服務，進一步鞏固與旅遊產業鏈上下游之間的聯繫，促進各方業務發展，提升公司盈利能力。同時，粵珠保理公司也會以聯合保理、併購保理、雙保理等形式，參與到其它項目中去，分享項目收益。通過提供保理服務，公司可以在現有主營業務以外進一步擴展旅遊金融服務領域，逐步構建功能齊備的互聯網金融服務平台，為公司主營業務完善、盈利來源多元提供重要支持。
粵珠保理公司將實行執行董事領導下的總經理負責制，擬設風險管理委員會作為公司風險控制的決策機構。公司下設為保理業務部、風控法規部、財務部、行政人事部四個部室。
公司設立商業保理公司開展應收賬款融資和管理的保理相關業務，可以通過該種方式進行產業鏈優化，降低交易雙方的業務風險及資金佔用，構建供應鏈上下游企業互信互惠、協同發展的良好關係，優化商業信用環境。同時，保理業務作為建設公司旅遊互聯網金融服務平台的組成部分，可以提供旅遊增值服務，豐富公司的利潤來源，實現多方共贏。此次投資由公司以自有資金投入，以眾信旅遊集團現有業務為依託，投資風險可控，不會對公司財務狀況及經營成果產生重大影響，不存在損害公司及股東利益的情形。
