*ST利源(002501.SZ)：法院裁定受理遼源興業對瀋陽利源的破產重整申請
格隆匯11月14日丨*ST利源(002501.SZ)公佈，2019年11月8日，遼源興業以不能清償到期債務且明顯缺乏清償能力為由向瀋陽中院申請瀋陽利源軌道交通裝備有限公司(“瀋陽利源”)破產重整。瀋陽中院於2019年11月11日通知了瀋陽利源，瀋陽利源在法定期限內對遼源興業的破產重整申請無異議。
瀋陽利源對遼源興業提出的破產重整申請無異議，符合《最高人民法院關於使用〈中華人民共和國企業破產法〉若干問題的規定（一）》第六條規定。本案瀋陽利源提交了其具有破產重整的可行性和必要性材料。故遼源興業的申請符合法律規定，瀋陽中院予以支持。
依據《中華人民共和國企業破產法》第二條第二款、第三條、第七條第二款、第十條第二款，《最高人民法院關於使用〈中華人民共和國企業破產法〉若干問題的規定（一）》第二條、第四條第三項、第六條第一款之規定，裁定如下：受理遼源興業對瀋陽利源的破產重整申請。本裁定自即日起生效。
2019年11月14日，全資子公司瀋陽利源已被法院裁定進入重整程序，瀋陽利源將依法配合法院及管理人開展相關重整工作，並依法履行債務人的法定義務。瀋陽利源系公司全資子公司，截至2019年9月30日，公司對瀋陽利源長期股權投資原值為30.30億元，已全額計提長期股權投資減值準備，公司對瀋陽利源的其他應收款餘額約64.76億元。參照司法實踐，重整程序中債務人的負債及股東權益可能面臨調整，故不排除公司對瀋陽利源的其他應收款與股權會受到一定程度的調整，進而進一步提高公司資產減值的風險，經公司初步匡算，預計損失包括：對瀋陽利源的長期股權投資損失預計不超過30.30億元；對瀋陽利源的其他應收款減值損失預計不超過64.76億元等，具體金額以重整過程中法院及管理人核實的數據為準。由此較大可能造成公司2019年業績大額虧損以及公司淨資產為負數。根據《深圳證券交易所股票上市規則（2018年11月修訂）》（以下簡稱“《股票上市規則”》）的有關規定，公司股票交易可能在2019年年度財務報告披露之時，因觸及“最近兩個會計年度經審計的淨利潤連續為負值”及“最近一個會計年度經審計的期末淨資產為負值”的情形而被深圳證券交易所（以下簡稱“深交所”）繼續實行退市風險警示。公司股票不存在因上述事項導致直接被深交所暫停上市的情形。
