*ST九有(600462.SH)連續五個漲停 提示風險
格隆匯11月13日丨*ST九有(600462.SH)公佈，公司於2019年11月7日至11月13日，連續五個交易日漲停，公司關注到公司股票價格近期漲幅較大，現對相關風險提示如下：
1、截止目前，公司對控股子公司深圳市潤泰供應鏈管理有限公司(“潤泰供應鏈”)失去有效控制，也無法獲得相關的財務數據。公司於2019年11月9日公告了《深圳九有股份有限公司對深圳市潤泰供應鏈管理有限公司失去控制的情況説明》，公司擬自2018年1月1日不再合併潤泰供應鏈財務報表，將潤泰供應鏈的長期投資轉入其他非流動資產核算。但潤泰供應鏈能否出表等相關事項是否符合會計準則，能否獲得年審會計師審計確認，存在不確定性的風險。
2、2019年4月30日，公司披露了2018年度報告，因公司2018年度財務報告被會計師事務所出具無法表示意見的審計報告，公司被實施退市風險警示。若公司2019年度審計機構對公司發表無法表示意見的審計報告，公司股票有可能被暫停上市的風險。
3、因公司控股子公司潤泰供應鏈銀行貸款逾期(貸款逾期金額本息合計人民幣31430萬元)，導致公司被部分債權銀行及供應商起訴, 截止公告日，公司累計被起訴或仲裁金額美金11,615,685.83元及人民幣317,475,295.48元；公司的部分銀行賬户被凍結(包括基本户)，被凍結金額763.62元。如潤泰供應鏈不能償還上述債務，公司將存在承擔擔保責任的風險。
4、公司控股子公司深圳博立信科技有限公司也於2019年7月已停止了主要生產線，並擬處置部分固定資產和存貨。現只有全資子公司深圳九有供應鏈服務有限公司的控股子公司北京漢諾睿雅公關顧問有限公司正常生產經營，公司盈利能力較弱，公司存在不能持續經營的風險。
5、公司第一大股東天津盛鑫元通有限公司持有公司101,736,904股股份,其持有的全部股份已被上海市公安局奉賢分局司法凍結，被杭州市公安局江乾區分局、大連市公安局高新園區分局、杭州市公安局餘杭區分局、廣東省深圳市中級人民法院和杭州市公安局西湖區分局輪候凍結，公司控股權存在不穩定的風險。
