多喜愛(002761.SZ)擬繼續推進重大資產置換及換股吸收合併浙建集團事項
格隆匯11月11日丨多喜愛(002761.SZ)披露重大資產置換及換股吸收合併浙江省建設投資集團股份有限公司暨關聯交易報告書(草案)，此前披露，經中國證監會上市公司併購重組審核委員會於2019年9月26日召開的2019年第45次併購重組委會議審核，公司此次重大資產置換及換股吸收合併浙江省建設投資集團股份有限公司(“浙建集團”)事項未能獲得通過。2019年11月1日收到中國證監會出具的《關於不予核准多喜愛集團股份有限公司重大資產置換及吸收合併申請的決定》(證監許可[2019]2015號)。
鑑於此次交易是公司實現業務轉型，增強盈利能力，改善公司經營狀況的重要舉措，為實現股東利益的最大化，根據公司經營發展戰略及相關法律法規的規定，董事會決定繼續推進此次交易相關事宜。
此次交易擬置入資產為浙建集團100%股份。上市公司向交易對方以非公開發行股份的方式購買置入資產超出置出資產定價的差額部分，並對浙建集團進行吸收合併。根據置出資產交易定價以及置入資產交易定價，多喜愛應向全體交易對方非公開發行股份購買的置入資產的價值為約72.82億元。根據此次發行股份的價格計算，多喜愛通過向交易對方合計發行共計約8.38億股A股股份支付置入資產超出置出資產定價的差額部分。
此次交易前，多喜愛的主營業務為家紡用品的研發設計生產、委託加工、品牌推廣、渠道建設和銷售業務，以及新材料面料的應用研發和生產業務。此次交易完成後，多喜愛將承繼及承接浙建集團的全部資產、負債、合同及其他一切權利與義務，浙建集團的資產業務將整體注入上市公司，上市公司的原有業務將置出，上市公司的主營業務將變更為建築施工以及與建築主業產業鏈相配套的工業製造、工程服務、基礎設施投資運營等業務。
截至報告書籤署之日，上市公司總股本為約3.47億股，浙建集團持有上市公司約1.03億股股份，占上市公司總股本的29.83%，為上市公司第一大股東；陳軍、黃婭妮合計持有上市公司股股份，占上市公司總股本的20.01%。上市公司無實際控制人。根據交易各方簽署的《吸收合併協議》、《吸收合併協議之補充協議》，此次交易多喜愛向交易對方合計發行A股股份的數量為約8.38億股，同時註銷浙建集團持有的上市公司股份約1.03億股，即此次交易後實際新增股份數量為約7.35億股。
此次交易完成後，浙建集團將註銷法人資格，浙建集團的全體股東將成為上市公司的股東。國資運營公司及其一致行動人浙江建陽、迪臣發展、鴻運建築、財務開發公司將合計持有上市公司約6.58億股股份，佔此次交易後上市公司總股本的60.86%，上市公司的控股股東將變更為國資運營公司，實際控制人將變更為浙江省國資委。
