*ST天馬(002122.SZ)：成都天馬90%股權的司法拍賣由浙江天馬競得
格隆匯11月7日丨ST天馬(002122.SZ)公佈，此前披露，及其他相關方與浙江浙商證券資產管理有限公司(“浙商證券”)之間的合夥企業財產份額轉讓糾紛案，浙江省高級人民法院於2019年10月18日12時起至2019年10月19日12時止(延時除外)在浙江省高級人民法院淘寶司法拍賣網絡平台對公司持有的成都天馬鐵路軸承有限公司90%股權(“拍賣標的”)進行公開拍賣，但該次拍賣因無人出價而流拍；浙江省高級人民法院於2019年10月23日再次發佈《拍賣公告》及《競買須知》，拍賣標的將於2019年11月6日12時至2019年11月7日12時止(延時除外)進行第二次公開拍賣。
公司查詢了淘寶司法拍賣網絡平台(https://sf.taobao.com/)，此次拍賣已於2019年11月7日12時結束，拍賣標的被浙江天馬軸承集團有限公司(“浙江天馬”)競得，拍賣標的如果完成最終交割，將導致成都天馬不再納入公司合併報表範圍。
浙江天馬軸承集團有限公司通過競買號R5099於2019年11月07日在浙江省高級人民法院於阿里拍賣平台開展的“天馬軸承集團股份有限公司持有的成都天馬鐵路軸承有限公司90%股權”項目公開競價中，以最高應價勝出。該標的網絡拍賣成交價格約9.23億元。
公司持股12.49%的第二大股東霍爾果斯天馬創業投資集團有限公司(“天馬創業”)持有浙江天馬62.94%股權，為浙江天馬的控股股東；根據《深圳證券交易所上市規則》第10.1.3條第四款的規定，浙江天馬為上市公司的關聯方，即此次司法拍賣的結果客觀上導致關聯交易的發生。
此次拍賣完成後，公司資產規模、經營規模均會發生下降，上市公司綜合競爭力會受到一定程度影響，存在一定的經營風險。因此次拍賣標的的最終成交價款不足以清償公司對債權人浙商證券的負債，存在浙商證券申請浙江高院執行公司除拍賣標的以外的其他資產的可能性。
