銀禧科技(300221.SZ)：實控人解除一致行動關係 控股股東不變實控人變更為譚頌斌
格隆匯11月6日丨銀禧科技(300221.SZ)公佈，2019年11月5日，公司實際控制人譚頌斌和周娟共同簽署了《
<一致行動人協議>
之解除協議》，經充分協商，雙方決定解除於2017年8月23日簽署的《一致行動協議》。
譚頌斌和周娟解除一致行動關係後，各自持有銀禧科技股權比例不變，公司控股股東不變，仍為石河子市瑞晨股權投資合夥企業(有限合夥)(“瑞晨投資”)，公司實際控制人發生變更，實際控制人由譚頌斌、周娟，變更為譚頌斌。
譚頌斌、周娟雙方解除一致行動協議前後，瑞晨投資以及新餘德康投資管理有限公司(“新餘德康”)、譚頌斌生生個人以及周娟個人持有銀禧科技股數不變。分別如下：
1、公司控股股東瑞晨投資持有公司約9525.66萬股股份，佔公司總股本的21.17%。
2、新餘德康投資管理有限公司(“新餘德康”)，持有公司477.23萬股股份，佔公司股份總數的1.06%。
3、譚頌斌直接持有的銀禧科技股份數共計約3442.10萬股，佔公司股份總數的7.65%；譚頌斌通過持有瑞晨投資60%股權，間接持有銀禧科技股份數共計約5715.40萬股，佔公司股份總數的12.70%。
譚頌斌直接及間接持有公司股份數共計約9157.50萬股，佔公司股份總數20.35%。
4、周娟通過持有瑞晨投資40%股權，間接持有銀禧科技股份數共計約3810.27萬股，佔公司股份總數的8.47%；周娟通過持有新餘德康61.33%股權，間接持有公司股份數共計股約292.69萬股，佔公司股份總數0.65%。
周娟間接持有公司股份數共計約4102.95萬股，佔公司股份總數9.12%。
雙方解除一致行動協議前，譚頌斌直接持有銀禧科技約3442.10萬股股份，佔公司股份總數的7.65%；譚頌斌、周娟通過控制瑞晨投資、新餘德康共同控制銀禧科技共計約1.23億股，佔公司股份總數的29.88%。瑞晨投資為公司控股股東，瑞晨投資、新餘德康、譚頌斌、周娟為一致動人；譚頌斌、周娟為公司實際控制人。
雙方解除一致行動協議後，瑞晨投資持有公司約9525.66萬股股份，佔公司總股本的21.17%。瑞晨投資仍為公司控股股東，譚頌斌控制瑞晨投資，公司實際控制人由譚頌斌與周娟變更為譚頌斌。
