華誼嘉信(300071.SZ)：迪思公關及前管理人員涉及刑事案件並已宣判
格隆匯11月5日丨華誼嘉信(300071.SZ)公佈，公司近日通過查詢裁判文書網，瞭解到公司全資孫公司北京迪思公關顧問有限公司(“迪思公關”)及前管理人員涉及刑事案件並已宣判。參照《公司法》、《證券法》及《深圳證券交易所創業板股票上市規則》等有關重大事項信息披露的規定，具體情況披露如下：
因涉及使用刪除、屏蔽、下沉等手段在百度搜索引擎上清理涉及安利公司的負面信息，荊州市沙市區人民檢察院指控姜某(時任迪思公關總裁助理兼大數據中心負責人)及迪思公關非法經營，以鄂荊沙檢刑訴〔2018〕146號起訴書於2018年5月30日向湖北省荊州市沙市區人民法院提起公訴。該院受理後，於同日立案，並於2018年11月6日、11月7日，2019年3月5日開庭審理。2019年4月3日，湖北省荊州市沙市區人民法院做出一審判決((2018)鄂1002刑初188號)，判決姜某犯非法經營罪，判處有期徒刑六年九個月，並處罰金人民幣450萬元；判決迪思公關犯非法經營罪，判處罰金人民幣450萬元。
以上判決已由湖北省荊州市中級人民法院於近期終審裁定((2019)鄂10刑終141號)。
迪思公關於案發後已除名違規員工，並積極配合司法機關的調查，積極退繳全部項目所得人民幣441.57萬元，並依法繳納罰金，對公司未來的財務狀況不構成重大影響。迪思公關目前已不存在該類業務，並將加強內控管理、加大員工教育力度，杜絕違法違規的事情再次發生。公司及迪思公關其他業務合法合規，日常經營穩定。
公司將持續關注後續進展情況，及時履行信息披露義務。互聯網營銷是不斷規範和發展中的新生事物，公司將在不斷探索中持續保持日常經營的穩定正常，回報廣大投資者。
根據《深圳證券交易所上市公司重大違法強制退市實施辦法》，迪思公關雖然受到刑事處罰，這一刑事處罰並未涉及國家安全、公共安全、生態安全、生產安全和公眾健康安全等領域，因此不符合該辦法所述的重大違法強制退市的情形。截至公告發布之日，迪思公關尚未收到工商部門關於吊銷營業執照的行政立案或處罰決定。若發生此類不利情形，將會對公司的經營業績產生重大不利影響，公司將及時履行披露義務，因此提示投資者注意投資風險。
