和泓服務(06093.HK)擬2,520萬人幣購內地物業管理公司70%股權
和泓服務(06093.HK)公布,於昨日(23日)收市後,全資附屬北京泓升投資與賣方訂立投資框架協議,據此,北京泓升投資收購內地物業管理公司合共70%股權,擁有不少於300萬平方米在管建築面積,建議代價為2,520萬元人民幣。
北京泓升投資擁有選擇權可於購股協議所載的條款及條件獲滿足後,於截至2020年、2021年及2022年12月底止三個年度,各年最多購買剩餘賣方於目標公司剩餘股份總數的三分之一,購買選擇權將由公司透過新股配發償付。
