西山煤電(000983.SZ)擬參與競拍古交市4宗工業用地

格隆匯10月23日丨西山煤電(000983.SZ)公佈,公司於2017年12月11日和2017年12月27日分別召開第七屆董事會第三次會議和2017年第四次臨時股東大會,審議通過了《關於收購西山煤電(集團)公司古交配煤廠相關資產的議案》,公司購買了西山煤電(集團)有限責任公司(“西山集團”)所屬古交配煤廠的房屋建築物、生產及輔助設施等資產。交易完成後,公司的控股股東山西焦煤集團有限責任公司(“焦煤集團”)及關聯方西山集團仍擁有標的資產所佔用的在古交市4宗土地的土地使用權,總佔地面積為34110.04平方米。

近日經古交市人民政府的批覆,將在古交市國土資源交易事務所掛牌轉讓上述四宗地的土地使用權;公司擬參與競拍,競拍起始價分別為人民幣1885萬元、146萬元、62萬元、107萬元,合計2200萬元。其中四宗地劃撥土地權益價分別為552.60萬元、42.86萬元、18.12萬元、31.18萬元、合計644.76萬元,競拍成功後公司將分別支付給原土地使用權人焦煤集團或西山集團,此部分交易構成關聯交易。其餘價款為國有建設用地使用權出讓價款,成交後支付給政府財政專户。

(1)宗地1:國有土地使用證編號:古國用(2005)字第0309號;地理位置:古交市屯蘭礦工業廣場;土地面積:29,238.32平方米;土地用途:工業用地;土地使用權類型:劃撥地。

(2)宗地2:國有土地使用證編號:古國用(2005)字第0309號;地理位置:古交市屯蘭礦工業廣場;

土地面積:2,267.95平方米;土地用途:工業用地;土地使用權類型:劃撥地。

(3)宗地3:國有土地使用證編號:古國用(2005)字第0309號;地理位置:古交市屯蘭礦工業廣場;土地面積:953.92平方米;土地用途:工業用地;土地使用權類型:劃撥地。

(4)宗地4:國有土地使用證編號:古國用(2001)字第0149號;地理位置:古交指揮部大車隊(淨化水廠);土地面積:1,649.85平方米;土地用途:工業用地;土地使用權類型:劃撥地。

自上市公司2017年收購西山集團古交配煤廠相關資產後,相關資產所佔用的土地使用權人仍為焦煤集團和西山集團。為完善古交配煤廠的產權手續,滿足公司未來發展對生產經營用地的需要,增強資產獨立性和完整性,公司參與上述四宗土地的拍賣是必要的,是符合公司長遠發展規劃的。
