愛康科技(002610.SZ)擬收購江蘇愛康房地產開發100%股權及子公司擬向薄膜新材料購買土地廠房
格隆匯10月23日丨愛康科技(002610.SZ)公佈，公司於2019年10月23日召開的第四屆董事會第七次臨時會議、第四屆監事會第五次臨時會議審議通過了《關於全資子公司蘇州愛康光電科技有限公司向蘇州愛康薄膜新材料有限公司購買土地廠房的議案》和《關於公司收購江蘇愛康房地產開發有限公司全部股權的議案》，全資子公司蘇州愛康光電科技有限公司擬以自籌資金約2.46億元向蘇州愛康薄膜新材料有限公司(“薄膜新材料”)購買土地廠房，公司擬以自籌資金約1.09億元收購江蘇愛康實業集團有限公司(“愛康實業”)和鄒裕文持有的江蘇愛康房地產開發有限公司(“標的公司”)100%的股權。
標的資產為蘇州愛康薄膜新材料有限公司持有的土地廠房包括行政樓A1、後勤樓A2、生產廠房B1、倉庫B2等以及位於張家港經濟開發區南區鎮北西路的兩塊土地，總建築面積44481.58平方米，總土地面積98,628.00平方米。標的資產中有面積約25708.82平方米的廠房租賃給公司及公司控股子公司生產辦公。
標的公司江蘇愛康房地產開發有限公司主要負責愛康實業基建項目工程管理，工程設施維護，辦公樓的裝修、物業經營管理，其持有的愛康大廈自有部分面積51123.97平方米，目前大部分對外出租。
蘇州愛康薄膜新材料有限公司(“轉讓方”)擬與公司全資子公司蘇州愛康光電科技有限公司(“受讓方”)簽訂《資產轉讓協議書》，協議主要內容如下：
(1)轉讓資產
薄膜新材料持有總土地面積98628.00平方米、已建房屋總建築面積44481.58平方米，具體包括行政樓A1、後勤樓A2、生產廠房B1、倉庫B2等以及位於張家港經濟開發區南區鎮北西路的兩塊土地。
(2)交易價格
此次交易以北京華亞正信資產評估有限公司出具的《江蘇愛康科技股份有限公司擬資產收購涉及的蘇州愛康薄膜新材料有限公司房地產價值資產評估報告》(華亞正信評報字【2019】第A16-0042號)的評估值為作價依據，標的資產作價約2.46億元。
標的資產主要租賃給上市公司用於生產辦公，且未來公司組件電池業務的擴產需要使用標的資產的土地廠房；標的公司持有的愛康大廈主要用於對上市公司融資提供抵押擔保，未來可產生租金收入，為了維護公司生產經營系統的完整性，減少關聯交易，公司決定收購上述資產。此次交易具有商業合理性。此次交易完成後，對公司財務狀況和經營成果不會產生重大影響，不存在損害公司及全體股東利益的情形。
