魯信創投(600783.SH)擬對泰山砂布砂紙等4家公司的產權進行整合
格隆匯10月22日丨魯信創投(600783.SH)公佈，根據公司對實體業務板塊的整體戰略部署，公司擬對控股子公司淄博四砂泰山砂布砂紙有限公司(“泰山砂布砂紙”)、全資子公司淄博開發區四砂砂布砂紙有限公司(“開發區砂布砂紙”)、全資子公司山東魯信高新技術產業有限公司(“魯信高新”)以及參股公司淄博理研泰山塗附磨具有限公司(“理研泰山”)的產權進行整合。
淄博四砂泰山砂布砂紙有限公司經營範圍為磨料、塗附磨具產品生產、銷售,貨物、技術進出口(依法須經批准的項目,經相關部門批准後方可開展經營活動)。
淄博開發區四砂砂布砂紙有限公司經營範圍為銷售砂布、砂紙、砂帶及專用設備,磨料、磨具、硅碳棒、金屬鎂及製品;貨物及技術進出口(依法須經批准的項目,經相關部門批准後方可開展經營活動)。
山東魯信高新技術產業有限公司經營範圍為磨料磨具生產、銷售;磨料磨具的技術開發及諮詢服務;塗附磨具、衞生潔具、耐磨紙、硅碳棒、耐火材料及製品、建築材料、鋼材、五金交電、百貨、機電產品(不含國家專控及九座以下乘用車)、礦山及化工機械的銷售;機電產品安裝、維修(不含小轎車及特種設備)(依法須經批准的項目,經相關部門批准後方可開展經營活動)。
淄博理研泰山塗附磨具有限公司經營範圍為砂布、砂紙、砂帶、砂布基布、砂紙基紙等塗附磨具產品及相關製品、相關設備、磨料、固結磨具、超硬材料、拋光材料、手動工具、氣動工具、電動工具、汽保工具、五金工具及其相關配件、玻纖及塑料製品等相關產品的生產銷售;企業管理服務、技術諮詢、技術服務(依法須經批准的項目,經相關部門批准後方可開展經營活動)。
產權整合方案：
(一)泰山砂布砂紙回購魯信高新工會持有的22.50%股權並減資
泰山砂布砂紙擬根據資產評估值，即按照2.758元/每元註冊資本的價格出資1241.1萬元回購魯信高新工會持有的22.50%股權，回購完成後，將此次回購的股權註銷，即泰山砂布砂紙註冊資本由2000萬元減少為1550萬元，由魯信創投100%出資。
(二)泰山砂布砂紙吸收合併開發區砂布砂紙
泰山砂布砂紙吸收合併開發區砂布砂紙，吸收合併完成後，開發區砂布砂紙獨立法人地位註銷，泰山砂布砂紙存續經營，泰山砂布砂紙的註冊資本由1550萬元增加為2800萬元，由魯信創投100%出資。
(三)魯信創投以持有的泰山砂布砂紙股權及理研泰山股權對魯信高新進行增資
吸收合併完成後，魯信創投以持有的泰山砂布砂紙100%股權及理研泰山47%股權按照賬面價值對魯信高新進行增資。
此次產權整合能夠有效整合公司實體業務板塊資源，加快實體業務板塊統籌創新發展。產權整合完成後，魯信高新將成為公司實體產業的運營主體，開發區砂布砂紙被吸收合併後註銷，上市公司合併範圍發生變動，但對公司財務狀況和經營狀況不產生重大影響。
