銀江股份(300020.SZ)計劃整體搬遷至中國智谷·富春園區
格隆匯10月18日丨銀江股份(300020.SZ)公佈，公司按原計劃將進行整體搬遷，相關職能部門及部分子公司將視計劃逐步搬遷至中國智谷·富春園區。該議案已經公司第四屆董事會第二十八次會議審議通過。
變更前：辦公地址：杭州市西湖區西園八路2號；變更後：辦公地址：杭州市富陽區銀湖街道九龍大道中國智谷·富春園區。
基於公司整體固定資產配置需求，公司計劃將進行固定資產優化和置換，計劃對公司目前所在杭州市西湖區西園八路2號土地使用權及地上房產建築進行處置，並計劃購置關聯方智谷創業園有限公司所擁有的中國智谷·富春園區部分房產作為辦公用房。目前，相關評估工作正有序開展，待相關工作完成後，將提交相關議案至公司董事會及股東大會審議。
公司目前所在辦公場地位於浙江省杭州市西湖區西湖經濟科技園，該園區是杭州市新世紀“一號工程”決策的產物，經杭州市政府[2001]2號文批准，2001年4月經杭州市規劃局對園區控制詳規的同意批覆，同年8月29日園區首期基礎設施開工建設。公司目前所在辦公園區於2005年開建，2006年建成並整體搬遷至此。2016年9月30日，杭州市人民政府、浙江省發展和改革委員會、浙江省科學技術廳聯合印發了《杭州城西科創大走廊規劃》的通知(杭政函〔2016〕119號)，公司所在區域已成為杭州市城西科創大走廊的“東部橋頭堡”。目前該區域規劃已重新調整，對所在整改區域的產業園區的建築風格、容積率、辦公樓高度等方面進行了調整，我司辦公園區也在拆遷改造範圍之內。目前，該區域大量建築已經拆除、改造或正計劃拆除、改造。
中國智谷·富春園區地處杭州市富陽區，相較於目前公司所處西湖區，富陽區在科技創新、課題申報、技術成果轉化等高新技術領域方面，均有更好的支持政策。公司的整體搬遷將有利於公司在人工智能、雲計算、大數據等核心技術領域研發工作的開展，提升公司研發創新及產品解決方案的核心競爭力。
此次土地及地上房屋建築物處置，有利於盤活公司低效資產，優化資產結構，提高資產運營效率。
公司辦公場地已使用近十五年，目前建築物及辦公設施大多數已陳舊，維修維護成本較高，無法滿足日常辦公的需求；同時園區在設計之初，未規劃建造地下車庫，現在已經無法滿足員工停車的需求；另外公司在杭州存在兩地辦公的現狀，造成辦公成本相對較高。本資產處置完成後，實現辦公場地歸集一處，便於公司辦公資源統一管理，降低管理成本，提升公司經營效率。
辦公場地的儲備也是公司未來資產優化配置的較核心戰略。公司總部目前辦公場地除去各類展廳、實驗室、員工食堂、物業用房等配套設施外，所剩辦公場地已無法滿足公司未來發展所需要的辦公場地。公司對外購置新的辦公場地，一方面實現公司總部辦公場地聚集並集中辦公，降本增效；另一方面也為公司未來資產優化配置做好規劃。
