諾普信(002215.SZ)：百盛農業擬與合作方共設合資公司 構建一流的火龍果單一作物產業鏈
格隆匯8月24日丨諾普信(002215.SZ)公佈，公司之三級全資子公司深圳百盛農業科技服務有限公司(“百盛農業”或“甲方”)擬與海南天地人生態農業股份有限公司(“海南天地人”或“乙方”)、海南福霖農業發展有限公司(“福霖農業”或“丙方”)、深圳市百果園投資發展有限公司(“百果園”或“丁方”)共同出資設立“合資公司”(名稱以工商登記為準)，合資公司註冊資本擬為1.5億元人民幣，百盛農業擬出資人民幣6000萬元，佔合資公司的股權比例為40%。
合資公司(以工商登記為準)擬定經營範圍：種植火龍果，種植香蕉等亞熱帶水果，農業專業及輔助性活動，農產品初加工，從事農作物病蟲害防治活動，農作物病蟲害防治服務，農村土地整理服務，農作物栽培、移栽服務，農業託管服務，種植水果，製造罐頭食品，製造蔬菜、水果罐頭，水果和堅果加工，果品、蔬菜零售，冷凍加工水果及堅果，製造固體飲料，製造飲料，農業技術開發、技術諮詢、技術交流、技術轉讓、技術推廣、技術服務。(一般經營項目自主經營，許可經營項目憑相關許可證或者批准文件經營)(依法須經批准的項目，經相關部門批准後方可開展經營活動。)
為把握火龍果行業發展方向，佈局3-5年後市場機會，以百盛農業為主體，聯合天地人、福霖農業、百果園共同成立合資公司。集合各方優勢資源，依託已有火龍果新品種“臨家紅韻”的品種權，發揮福霖農業在國內一流的種植技術優勢、並藉助百果園優質高效的果品銷售渠道，從而打開從育種育苗、種植體系、渠道銷售和品牌打造的通路，構建一流的火龍果單一作物產業鏈。
此次投資有利於增強公司的核心競爭力、探索新的盈利增長點，提升公司可持續發展能力和綜合盈利能力，將對公司未來經營產生積極影響。此次投資符合公司戰略發展要求，不會對公司的生產經營造成不利影響，不存在損害公司、股東，特別是中小股東利益的情形。
