中迪投資(000609.SZ)子公司擬簽署委託經營管理框架協議委託萬崇昇商業為“兩江·中迪廣場”進行整體經營管理
格隆匯8月20日丨中迪投資(000609.SZ)公佈，公司全資子公司重慶中美恆置業有限公司(“中美恆置業”)下屬“兩江·中迪廣場”正在開發建設中。為更好的規劃“兩江·中迪廣場”的經營管理工作，確保項目順利實施，中美恆置業擬與重慶萬崇昇商業管理有限公司(“萬崇昇商業”)簽署《委託經營管理框架協議》，委託萬崇昇商業為“兩江·中迪廣場”進行整體經營管理，分為籌開期委託、經營期委託，其中籌開期委託期限為自2019年9月29日至2020年12月30日，期間費用共計人民幣1,147萬元；經營期委託期限為自2020年12月31日起10年。
此次關聯交易標的為公司全資子公司中美恆置業開發的“兩江·中迪廣場”商鋪部分的委託經營權。該項目位於重慶市兩江新區宜奧商圈核心區域，地理位置優越，土地面積4.13萬平方米，整體容積率為2.50，總建築面積約20.27萬平方米，總計容建築面積約10.30萬平方米，商鋪部分主要為以20-60平方米為主的主題商業街。
公司全資子公司中美恆置業與萬崇昇商業簽訂《委託經營管理框架協議》，由萬崇昇商業為中美恆置業下屬“兩江·中迪廣場”提供整體經營管理，分為籌開期委託、經營期委託，其中籌開期委託期限為自2019年9月29日至2020年12月30日，期間費用共計為人民幣1,147萬元；經營期委託期限為自2020年12月31日起10年，期間委託內容包括物業經營、管理並提供物業服務，具體負責對經營物業實施招商、經營管理、企劃推廣等經營活動及租金代為催收、能源費用收繳、設備和設施檢修、保養、物業保潔、消防、安保等物業服務。期間費用由萬崇昇商業與中美恆置業協商確定，預算內的費用由中美恆置業承擔，預算外的費用由萬崇昇商業自行承擔。
此次中美恆置業與萬崇昇商業簽訂《委託經營管理框架協議》是希望藉助萬崇昇商業專業的項目管理團隊及豐富的項目管理經驗，為“兩江·中迪廣場”項目的經營開發提供有力的支持，確保項目的順利實施，提升項目品質，降低開發成本。且此次委託經營管理事項不會影響公司的獨立性，不會對公司的經營狀況及財務狀況產生不利影響，不會損害公司及中小股東的利益。
