新海能源(00342.HK)：法國興業銀行加入新海石油作為最後一名被告人
格隆匯10月11日丨新海能源(00342.HK)發佈公告，公司董事注意到於2019年9月2日，法國興業銀行新加坡分行(“原告人”)在香港特別行政區高等法院發出了傳訊令狀，以不同金額及不同索償組合向若干名被告人提出控告。該索償包括指稱涉嫌不法串謀詐騙的損害賠贘、違反轉讓契約、違反貿易融資額度、違反公司擔保及違反個人擔保等。於2019年9月17日，原告人修改了該令狀以新增3名被告人，令被告人的人數增加至10人。其中包括 Pacific Dragon (Hong Kong) Energy Limited(中文名稱為新長和(香港)能源有限公司)(“新長和”)、一間被稱為“Daisho Microline Limited”的公司，及張麗娜。新長和為新海石油有限公司(“新海石油”)的貿易債務人，新海石油是公司全資擁有附屬公司，亦是集團主要從事船用燃料油業務的貿易公司。新長和的應收貿易賬款主要來自根據2018年12 月簽署的總買賣合同進行的各種船用燃料油採購。大昌微線集團有限公司為香港聯合交易所有限公司主板上市公司，以擔保人身份簽署該合同，張女士於大昌微線集團簽署合同之日為大昌微線集團的主席。此外，根據合同，大昌微線集團為其直接或間接擁有的兩艘懸掛新加坡國旗的燃油船提供了船舶抵押。令狀中被稱為“Daisho Microline Limited”的被告人乃與大昌微線集團擁有相同辦公室地址的公司，其名稱亦與大昌微線集團的英文名稱幾乎相同。除上述外，以公司所知及所悉，在令狀中其餘的被告人均與集團並無關連。
2019年10月8日，原告人修訂了該令狀，以加入新海石油作為最後一名被告人。重新修訂的令狀已於2019年10月10日送達並已由新海石油接受。
於重新修訂的令狀中，原告人尋求一份聲明，其中包括新海石油作為建設性受託人應有責任就不當地收到並／或處理的20,498,997.81美元對原告人承擔責任。公司及新海石油強烈否認該項指控。新海石油董事已審閲與該合同項下與新長和及新海石油之間與交易有關的所有交易文件及紀錄，並完全確信兩者之間的所有交易均為真實商業買賣。新海石油收到的所有款項為該等交易貸款或與交付的貨物有關，並與該令狀中聲稱的任何事項無關。新海石油的法律團隊已接到外部法律建議，並堅信原告人在重新修訂的令狀中對新海石油的索償將告失敗，新海石油在任何情況下都將會大力反對原告人的所有索償並要求補償其費用。
由於新長和未償還的貿易賬款及逾期利息費用尚未支付，新海石油將對大昌微線集團進行起訴，以根據合同執行其擔保。此外，根據合同，大昌微線集團為其直接或間接擁有的兩艘懸掛新加坡國旗的燃油船提供了船舶抵押。新海石油已指示其外部法律顧問立即啟動法律程序，以追回未償還金額及所有費用。
