格隆匯10月4日丨嘉利國際(01050.HK)公佈,誠如2016年8月1日公告,原有協議的訂約方訂立終止協議,以終止原有協議,而公司全資附屬Massive Era Limited、Kar Info International Property Limited、項目公司及擔保人就項目公司將予開發的中國開發項目訂立新合作協議,據此,Massive Era Limited將投資1.4億港元的金額,以享有合作期屆滿後將自中國開發項目所得的一部分溢利。

該公告披露,中國開發項目涉及一幅位於中國廣東省東莞市鳳崗鎮油甘埔村的地塊,總土地面積約為32,799平方米。該地塊目前由項目公司擁有。

項目公司計劃將該地塊開發為住宅物業項目。項目公司已就中國開發項目取得中國有關當局批准,可將該地塊的用途由工業用地更改為住宅及商業用地。

中國開發項目為項目公司根據中國鳳崗鎮土地及城市改造政策涵蓋範圍下所持有的住宅物業項目。完成後,中國開發項目將提供約600套住宅套房及設施,包括一間幼兒園。經項目公司管理層告知,於中國開發項目建設幼兒園乃當地政府之規定,以作為公共設施之一。

2019年10月4日,Massive Era Limited、Kar Info International Property Limited、項目公司東莞市嘉訊通電腦產品有限公司與擔保人訂立新合作協議的補充協議,訂約方同意將合作期再延長15個月。

自2016年底開始及截至公告日期,中國政府實施了多項全國及地區性的政策措施,旨在推動中國物業市場的長期可持續發展,該等措施包括(但不限於)(i)提高購買第二套房的最低首付要求;(ii)在物業市場實施限購令;及(iii)規定轉售前的最短持有期。結果,中國開發項目的住宅銷售均受到相關地區性中國政府政策影響。因此,新合作協議訂約方需要更多時間完成中國開發項目的住宅物業銷售,故Massive Era Limited與Kar Info International Property Limited均擬將合作期再延長15個月。

除上文所披露者外,新合作協議其他條款並無更改,所有其他內容相同,仍然一直全面有效。
