北京燃气蓝天(06828.HK)与中国森田及中天能源订立合作框架协议 夯实液化天然气业务全产业链优势
格隆汇9月2日丨北京燃气蓝天(06828.HK)公布，公司于2019年9月2日分别与中国森田及中天能源订立合作框架协议。森田投资集团是中国森田100%控股子公司，是中国森田对外投资平台。森宇化工油气是森田投资集团旗下控股子公司。于2019年7月，森宇化工油气成为中天能源实际控制人。
据悉，公司与中国森田订立合作框架协议，以在建立紧密业务关系；发掘"一带一路"倡议下的机遇；就并购天然气行业公司成立基金；利用中天能源的潮州及江阴液化天然气接收站以低成本取得稳定的液化天然气供应；油气勘探合作；及员工培训及交流方面建立全面战略合作。
此外，公司与中天能源订立合作框架协议，以在能源项目合作；就能源资源及液化天然气供应的物流及贸易建立紧密业务关系；油气勘探合作；及员工培训及交流方面建立全面战略合作。
中天能源拥有两个液化天然气接收站，江阴接收站位于长江三角洲经济带，而潮州接收站位于珠江三角洲经济带，两个接收站计划于2020年底投入运营，预计2025年处理量各增加至每年200万吨；此外，中天能源在北美拥有多个油气田，地质储量共达数十亿桶。于天然气生产销售方面，中天能源在湖北、江苏拥有加气站约20座，年销气量超过1亿方；在浙江、江苏拥有液化天然气工业直供项目约40座，年销气量超过6亿方。於武汉市的液化天然气工厂，预计投产後每日产量约50万方。
此次合作符合国家对天然气的产业政策方向，并将提升公司过去三年布局的液化天然气产业链盈利能力及行业竞争力，同时将有助缓解国内长三角和珠三角两大液化天然气核心消费市场的供气紧张局面。该协议的签订主要是基于目前中国森田在与中天能源股权合作的背景下，为有效促进并购进程和激发更多协同和优势互补效应，中国森田引入公司参与合作并充分发挥公司于液化天然气业务的经营经验和产业链资源，以此三方发挥各自优势，互惠合作，共同开发天然气市场。
中天能源拥有两个液化天然气接收站，江阴接收站位于长江三角洲经济带，而潮州接收站位于珠江三角洲经济带，两个接收站计划于2020年底投入运营。集团在此合作基础上亦将进一步夯实于液化天然气业务的全产业链优势，提升上游气源获取的渠道和市场竞争力，利用中天能源的潮州及江阴液化天然气接收站以低成本取得稳定的液化天然气供应，增强中游分销能力，扩大下游终端用户规模，以此提升上下游的议价能力和市场份额，提高集团的业务盈利水平和开拓公司和中天能源中港两地资本市场合作空间。
