博雅互动(00434.HK)：6.35亿元闲置现金储备无法继续进行定期存款或理财管理
格隆汇9月1日丨博雅互动(00434.HK)公告称，根据公司一般惯例，公司会将闲置现金储备进行定期存款处理及购买理财产品(“闲置资金管理”)。公司约于2019年3月4日注意到其个别银行账户的闲置现金储备(“有关闲置现金储备”)无法继续进行定期存款或理财管理(“事件”)。截至2019年9月1日，上述有关闲置现金储备金额约为人民币6.35亿元。有关闲置现金储备仅为公司闲置现金储备总额的一部分。在相关时间，公司认为事件可能由于受到个别雇员涉及的案件(定义见下文)牵连。故此，公司于2019年3月聘请中国大陆法律顾问就此事项提供咨询意见。在聘任大陆法律顾问后，大陆法律顾问代表公司就有关事件向相关中国大陆法院及检察院提交申请，包括使用有关闲置现金储备的申请。公司未收到相关中国大陆法院及检察院就上述申请的任何回覆。
根据大陆法律顾问的意见，公司于2019年8月21日向相关中国大陆法院提出申请，请求使用有关闲置现金储备进行理财管理。于2019年8月27日，公司收到有关中国大陆法院的答覆，法院回覆由于中国大陆有关司法机关对公司个别现任或前任雇员就涉嫌利用公司境内的其中一款网络游戏平台进行了非法活动(“涉嫌罪行”)提出检控(“案件”)而对上述有关闲置现金储备进行冻结。因此，申请未获批准。根据大陆法律顾问的意见，如果相关中国大陆司法机关裁定部分或全部有关闲置现金储备包含有基于个别雇员的犯罪行为而产生的收入，则该收入有被没收的可能。公司正与其大陆法律顾问商讨下一步的措施。
由于公司并非案件被检控的任何一方，仅是由于个别雇员的涉嫌罪行而受到牵连。故此，除答覆外，公司未收到中国大陆司法机关有关案件的任何正式通知。根据大陆法律顾问的意见，相关中国大陆司法机关正在对本案进行调查，审讯日期还未确定。除上述披露内容以外，公司对案件内容的详细信息并不知悉。
截至公告日期，案件正在进行中，公司所有其他银行账户仍正常营运，并未受到案件任何影响。根据大陆法律顾问的意见，(i)因公司、其董事及管理层并没有就案件被起诉，且他们未收到任何相关中国大陆司法机关有关案件的任何正式通知，及(ii)有关案件的检控仅针对雇员，公司、其董事及管理层将受到中国有关司法机关就涉嫌罪行被检控的风险很小。
鉴于以下事实(i)根据上述大陆法律顾问的意见，公司、其董事及管理层将受到中国大陆有关司法机关就涉嫌罪行被检控的风险很小，(ii)公司的有关闲置现金储备仅作闲置资金管理的用途，且为公司一般惯例，而有关闲置现金储备仅占公司闲置现金储备总额的一部分，(iii)公司认为在其他银行账户中有足够的现金储备支持公司日常业务，(iv)截至公告日期，公司并无任何借贷，及(v)公司将积极对该案件及事件的进展密切关注并就其对公司的影响进行评估，董事会认为该案件及事件不会对集团的业务，营运及财务状况造成任何重大不利影响。
