大悦城地产(00207.HK)拟转让泉智及耀赛100%股权 将减少27.52亿元负债
格隆汇8月30日丨大悦城地产(00207.HK)公布,于2019年8月30日,本公司、泉智、创晟、高星置业、宏益、耀动及Garbo Commercial已确认订立长风重组框架协议。根据长风重组框架协议,公司将转让泉智的全部已发行股本予宏益;(b)宏益(作为承让人)将向本公司发行一股面值1美元的股份作为代价;(c)宏益将转让泉智的全部已发行股本予耀动;(d)耀动(作为承让人)将向宏益发行一股面值1美元的股份作为代价;(e)耀动将转让泉智的全部已发行股本予Garbo Commercial;及(f)泉智将偿还结欠本公司或其关联方的到期但尚未偿还的关联方贷款、应计贷款利息及若干应收款项约人民币14.32亿元。
同日,该公司、耀赛、创徽、秦汉唐、宏益、耀动及GarboCommercial已确认订立西安重组框架协议。根据西安重组框架协议,(a)本公司将转让耀赛的全部已发行股本(即一股普通股)予宏益;(b)宏益(作为承让人)将向本公司发行一股面值1美元的股份作为代价;(c)宏益将转让耀赛的全部已发行股本予耀动;(d)耀动(作为承让人)将向宏益发行一股面值1美元的股份作为代价;(e)耀动将转让耀赛的全部已发行股本予Garbo Commercial;及(f)创徽及耀赛将偿还结欠本公司或其关联方的到期但尚未偿还的关联方贷款、应计贷款利息及若干应收款项约人民币6.686亿元。有关转让事项的转让文件预期将于2019年9月30日或之前订立。
据悉,泉智为一间于英属处女群岛注册成立的公司且主要从事资产管理及投资管理,于长风目标物业(即位于中国上海市普陀区名为长风大悦城的零售物业)中间接持有权益。于长风转让事项完成后,泉智将不再为本集团附属公司。
耀赛为一间于英属处女群岛注册成立的公司且主要从事资产管理及投资管理,于西安目标物业(即位于中国西安市曲江新区名为西安曲江大悦城的零售物业)中间接持有权益。于西安转让事项完成后,耀赛将不再为本集团附属公司。
董事认为,转让事项将有助于本集团履行其向Garbo Commercial出资的所有责任,并将减少本集团综合财务报表的债务负债约人民币27.52亿元(相当于约30.47亿港元)。
