达华智能(002512.SZ)拟出资1.8亿元设立卫星业务专业控股子公司
格隆汇8月28日丨达华智能(002512.SZ)公布，2019年8月28日，公司第三届董事会第五十次会议审议通过《关于设立卫星业务专业控股子公司的议案》，为践行公司“一带一路互联互通”战略，落实公司在卫星通信领域的战略转型，便于公司卫星业务板块的培育和管理，集中参与福建省军民融合项目承接，按照福建省政府的要求及公司未来发展安排，将公司卫星和通信业务整体下沉，实现业务聚焦、归核，特拟出资1.8亿元与福州青年创盟网络科技有限公司(出资0.2亿元)在福建省福州市设立控股卫星业务专业公司——福建海天丝路卫星科技有限公司(“海丝卫星”暂定名)，将目前公司通信与卫星产业部全部人员和相关资产全部转至海丝卫星内，并配备相关财务等人员，独立运行，自负盈亏。海丝卫星定位于福建省军民融合、卫星及通信相关业务，业务覆盖整个“海丝”地区。
新设立公司暂定名为福建海天丝路卫星科技有限公司，生产经营范围：卫星及通信系统的设计、研发、试验、工程建设、技术研究和运营管理；卫星地面应用系统的设计、研发、试验、工程建设、操作、销售和运营管理及服务；卫星数据产品的接收、处理、研发、试验、加工、技术研究、销售和服务；卫星应用相关终端产品的设计、研发、试验、制造、生产、技术研究、销售和服务；与卫星系统研制、试验、应用相关的技术开发、技术推广、技术转让、技术咨询、技术服务、产品研发、制造、工程承包、招标服务；卫星相关工程的承包、开发；卫星系统建设、运营、应用相关的国际技术合作业务；与上述业务相关的技术咨询、服务；通信广播器材、计算机软硬件的销售。通信设备、电子产品、工业自动化设备及相应的系统工程的研制、开发、生产、集成、销售、安装、租赁及服务；计算机软硬件及系统的开发、集成、销售、相关产品的维修；技术开发、技术咨询、技术转让、技术服务；软件开发；计算机系统集成；计算机系统服务；基础软件服务；应用软件服务(医用软件服务除外)；通信网络支撑系统技术服务；新一代宽带无线移动通信系统开发；技术推广服务；专业承包；劳务分包；货物进出口、技术进出口、代理进出口。
