拉夏贝尔(603157.SH)收到上海证监局警示函
格隆汇8月16日丨拉夏贝尔(603157.SH)公布，公司于2019年8月16日收到中国证券监督管理委员会上海监管局《关于对上海拉夏贝尔服饰股份有限公司采取出具警示函措施的决定》([2019]100号)。现将内容公告如下：
“上海拉夏贝尔服饰股份有限公司：
经查，我局发现你公司在信息披露方面存在以下问题：
2019年1月31日，你公司披露2018年年度业绩预减公告，预计2018年度实现归属于上市公司股东的净利润(以下简称净利润)同比2017年度减少45853万元左右，同比下降约92%，并在风险提示部分披露“公司不存在影响本次业绩预告内容准确性的重大不确定因素”。2019年3月23日，你公司披露2018年度业绩预减更正暨业绩快报公告，预计2018年度实现净利润-15576万元。2019 年3月29日，你公司披露2018年年度报告，2018年度实现净利润-15951万元。
你公司2019年1月31日业绩预告中披露的净利润与实际业绩存在较大差异，且未对业绩由盈转亏做出充分的风险提示，信息披露不准确、不充分、不完整。上述行为违反了《上市公司信息披露管理办法》(证监会令第40号)第二条第一款的规定。根据《上市公司信息披露管理办法》第五十九条第(三)项的规定，现决定对你公司采取出具警示函的行政监管措施。如果对本监督管理措施不服的，可以在收到本决定书之日起60日内向我会(中国证券监督管理委员会)提出行政复议申请，也可以在收到本决定书之日起6个月内向有管辖权的人民法院提起诉讼。复议与诉讼期间，上述监督管理措施不停止执行。”
公司高度重视警示函所提出的问题，将加强内部控制管理，并严格遵守《证券法》、《上市公司信息披露管理办法》等相关规定，强化规范运作意识，及时履行审议程序及信息披露义务，不断提高信息披露质量，维护公司及全体股东利益。
