中国绿宝(06183.HK)拟不超2.1亿港元投资收购加拿大牛奶制造公司
格隆汇8月13日丨中国绿宝(06183.HK)公布,2019年5月15日,公司作为潜在投资方与潜在目标公司CHINA HEALTH LIMITED订立谅解备忘录。根据谅解备忘录,目标公司有意以向投资方发行新股的形式进行融资。于谅解备忘录日期,目标公司持有加拿大牛奶制造公司的100%已发行股本。加拿大牛奶主要从事的业务为婴幼儿配方液体奶及成人牛奶的生产及销售。
截至本公告日期,该集团已完成关于潜在收购事项的尽职调查工作。此外,该公司已于本公告日期召开董事会会议,审议了关于潜在收购事项的议案,并决议将以不超过港币2.1亿元的交易对价完成潜在收购事项,并授权该公司任意一名执行董事办理潜在收购事项后续的有关事宜,包括但不限于就潜在收购事项各项条款进行进一步谈判、签署正式交易协议及交割等。
