雅高控股(03313.HK)拟4500万元收购碳酸钙制造及销售公司全部股权
格隆汇7月2日丨雅高控股(03313.HK)发布公告，2019年7月2日，公司全资附属Artgo Investment Limited作为买方与蒋美琴订立协议，据此，买方同意向卖方收购目标公司Kalong Holdings Limited全部股权并接纳卖方转让销售贷款，总代价为人民币4500万元。
根据协议，代价应由公司向卖方按每股0.81港元的发行价配发及发行代价股份(即约6313.13万股新股份)的方式支付。发行价每股0.81港元较协议日期收市价1.89港元折让约57.14%。代价股份占公司已发行股本约2.20%，及经配发及发行代价股份扩大后已发行股本约2.15%。
目标公司在英属处女群岛注册成立，于公告日期其全部已发行股本由卖方拥有。于公告日期，目标公司主要从事投资控股，并持有Kalong HK的全部股权，KalongHK主要从事投资控股。据卖方表示，Kalong HK正进行重组，把江西科越科技有限公司及永丰县东江铜业有限公司全部股权转让给Kalong HK。
于公告日期，东江铜业持有KALONG项目集团的若干营运资产。江西科越主要从事制造及销售碳酸钙，并持有江西太极的全部股权。江西太极协同创新新材料有限公司全部股权由江西科越拥有。于公告日期，江西太极向KALONG项目集团提供财务活动。
公告表示，集团一直积极考虑及探索各种投资项目机会，并根据市场情况扩阔投资范围，旨在提升股东价值。有监于此，董事已评估订立该协议及其项下拟进行的交易，并认为公司拟进一步扩展其现代物流、材料加工(包括大理石加工)及供应链金融业务，以发展商品贸易，从而提升盈利能力。
有监于此，董事认为潜在收购目标集团(主要从事碳酸钙(主要由大理石渣制成)的制造及销售)乃集团竭力巩固及透过扩大整体范围由石材开采延伸至石材应用(即生产主要作工业用途的碳酸钙)进一步拓展集团现有业务分部的可行商机。
