佳創視訊(300264.SZ)：控股股東、實控人將變更為毛廣甫與李莉夫婦 8月11日復牌
格隆匯8月10日丨佳創視訊(300264.SZ)公佈，2025年8月7日，公司控股股東、實際控制人陳坤江(下稱"甲方")與李莉(下稱"乙方1")、毛廣甫(下稱"乙方2"，乙方1、2統稱為"乙方")簽署了《控制權變更框架協議》。現將協議主要內容公吿如下:
1、股份轉讓
甲方擬向乙方1共轉讓其所持的目標公司20,062,441股股份，佔其所持股份的25%，佔目標公司總股本的4.6564%(下稱"標的股份")；乙方1擬通過協議轉讓方式受讓上述標的股份；甲方協助乙方1尋找其他有意向乙方1轉讓目標公司股份的股東，將其持有的目標公司1,480,435股股份(佔目標公司總股本的0.3436%)轉讓給乙方1。
2、表決權
委託甲方擬將其根據股份轉讓協議約定的標的股份交割後所持有的目標公司剩餘60,187,324股股份(佔目標公司總股本的13.9692%)的表決權全權委託給乙方2行使。
3、向特定對象發行股份
為提升乙方對目標公司的持股比例，同時為目的公司提供流動資金支持，乙方或乙方的關聯方將認購目標公司向特定對象發行的股份。目標公司擬向特定對象發行股票數量不超過67,860,060股(含本數),未超過本次發行前公司總股本的30%；向特定對象發行股票的募集資金總額不超過354,229,513.20元(含),扣除發行費用後用於補充流動資金及償還借款。向特定對象發行股票的價格為不低於公司向特定對象發行股票的董事會決議公吿日前20個交易日股票交易均價的80%。
若本次控制權變更事項順利推進並實施完成，公司控股股東、實際控制人將由陳坤江變更為毛廣甫與李莉夫婦。
此外，根據深圳證券交易所的相關規定，經公司向深圳證券交易所申請，公司股票證券代碼：300264，證券簡稱：佳創視訊)自2025年8月11日(星期一)開市起復牌。
