英諾賽科(02577.HK)擬配股總籌5.5億港元 加速氮化鎵產品迭代及人形機器人等領域佈局
格隆匯7月22日丨英諾賽科(02577.HK)發佈公吿，2025年7月22日(聯交所交易時段前)，公司與配售代理(即中信里昂與海通國際)訂立配售協議，據此，配售代理已有條件及單獨(而非共同或共同及單獨)同意作為公司代理盡力促使合共不少於六名承配人按照配售協議所載條款並在其條件規限下購買1358.4萬股新H股，配售價為每股H股40.50港元。
配售股份分別佔本公吿日期已發行H股及已發行股份總數的約2.77%及約1.54%，且分別佔經配發及發行配售股份擴大後的H股及已發行股份總數的約2.69%及約1.52%。公司將根據一般授權發行配售股份。公司將向聯交所申請配售股份上市及買賣。
配售完成後，籌集的所得款項將進一步增強集團的財務實力、市場競爭力及綜合實力，並促進集團的長期健康及可持續發展。假定所有配售股份均獲悉數配售，配售的所得款項總額及所得款項淨額(扣除佣金及估計開支後)預計分別為5.50億港元及約5.44億港元。
配售所得款項淨額擬用於以下用途：(1)約50%的資金用於支持集團的產品升級迭代，拓展新產品應用的技術研發以增強產品競爭力，提高氮化鎵產品在終端市場的滲透率；(a)高低壓產品平台在未來2-3年內完成2次迭代，進一步提高產品性能，提升功率密度，同時在雙向導通工藝(VGaN)，低壓高頻應用，1200V及以上高壓產品等特色工藝和產品方面持續取得突破，提高產品競爭力；與封裝廠商合作，研發新的封裝形式，以更好發揮氮化鎵功率器件產品的性能優勢；(b)在消費電子應用領域保持優勢的基礎上，通過技術研發與產品設計，拓展氮化鎵功率器件產品在人形機器人、汽車電子、數據中心等領域的應用。上述應用領域是氮化鎵功率器件發揮產品優勢、實現業務增長的重點領域。因其產品開發及驗證週期長、投入大，公司通過進一步募集資金，重點投放以上領域，以加速技術和產品應用突破，為氮化鎵功率器件的市場拓展及業務快速提升提供有力保障。(2)約25%的資金用於償還存量的銀行有息負債；償還有息負債，可以改善公司財務狀況，降低有息負債率，減少財務費用支出。(3)約25%的資金用於補充流動資金和一般運營用途。就補充流動資金及作一般企業運營用途而言，公司計劃繼續將所得款項用於人才招聘及留用、營運資金及其他行政用途，以支持公司業務運營。
