多點數智(02586.HK)擬先舊後新配售3540萬股 淨籌3.89億港元
格隆匯7月16日丨多點數智(02586.HK)公告，於2025年7月16日，公司、賣方Odor Nice Limited及經辦人訂立配售及認購協議，據此，(i)賣方已同意出售，而經辦人已各自(而非共同，亦非共同及個別)同意擔任賣方的代理，以盡最大努力促使承配人以每股配售股份11.1港元的配售價購買3540萬股配售股份；及(ii)賣方已有條件同意認購，而公司已有條件同意根據一般授權配發及發行認購股份予賣方，價格相當於每股配售股份的配售價11.1港元("認購價")(且該等認購股份數目須與經辦人根據配售及認購協議實際配售的配售股份數目相同)。
配售股份佔公司於本公告日期現有已發行股本約3.93%及公司於緊隨認購事項完成後經配發及發行認購股份擴大的已發行股本約3.78%(假設除配發及發行認購股份外，公司已發行股本於本公告日期至認購事項完成期間並無變動)。
配售價爲每股11.1港元，較股份於最後交易日在聯交所所報收市價每股12.34港元折讓約10%。
將配發及發行予賣方的3540萬股新股份(該數量應等於經辦人根據配售及認購協議實際配售的配售股份數目)予賣方配發及發行，佔本公司於本公告日期現有已發行股本約3.93%及於緊隨認購事項完成後經配發及發行認購股份擴大的已發行股本約3.78%(除配發及發行認購股份外，假設公司已發行股本於本公告日期至認購事項完成期間並無變動)。
認購事項預計所得款項淨額(經扣除將由公司承擔的賣方及本公司適當產生所有費用、成本及開支(包括經辦人傭金、印花稅、聯交所交易費及證監會交易徵費)以及公司就配售事項及認購事項產生的其他開支)預計約爲3.89億港元。因此，估計淨認購價(經扣除有關費用、成本及開支)約爲每股認購股份11.00港元。
公司已向聯交所申請自2025年7月17日上午9時正起公司股份於聯交所恢復買賣。
