融創中國(01918.HK)擬發行7.54億股新股用於償付56億元相關境內債券
格隆匯7月4日丨融創中國(01918.HK)公佈，有關融創房地產(公司全資附屬公司)進行的境內債務重組。如先前公告所述，境內債務重組方案經相關境內債券持有人會議審議通過後，融創房地產將安排境內債券持有人就其持有的境內債券在債券購回(即現金要約收購)、股票經濟收益權兌付及以資抵債等重組方案選項中進行選擇。
融創房地產已於2025年4月根據債券購回選項的安排以人民幣約8億元購回金額約人民幣40億元的境內債券。目前，就股票選項而言，根據境內債務重組的條款，選擇股票選項的每人民幣100元面值的境內債券可以獲得對應的13.5股本公司股份的處置所得資金淨額收益權。
爲了配合境內債務重組中的股票選項的有序實施，於2025年7月3日，公司與特殊目的公司訂立認購協議，據此，特殊目的公司有條件同意認購，而公司有條件同意配發及發行合共754,468,943股股份。特殊目的公司處置該等股份所獲資金淨額等額的境內資金將用於償付選擇股票選項的境內債券持有人所持有的合計金額約人民幣56億元的相關境內債券。認購股份將根據一般授權配發及發行。
據悉，特殊目的公司爲一間於英屬維爾京羣島註冊成立的有限公司， 其全部已發行股本由晟嘉(BVI)持有。晟嘉(BVI)全部已發行股本由Conyers Trustee Services (BVI) Limited(以New Dawn Trust信託人身份)持有。Conyers Trustee Services (BVI) Limited爲一間於英屬維爾京羣島註冊成立的有限公司， 獲英屬維爾京羣島金融服務委員會發牌從事信託業務。New Dawn Trust是一個依據英屬維爾京羣島法律成立的特殊目的信託，其沒有實際受益人。該信託是爲了實施境內債務重組中的股票選項，通過特殊目的公司持有認購股份而設立。
