海程邦達(603836.SH)：下屬全資子公司簽署終止租賃協議
格隆匯6月30日丨海程邦達(603836.SH)公佈，公司於2025年6月28日召開第三屆董事會第八次會議，審議通過了《關於下屬子公司簽署終止租賃協議的議案》，同意下屬全資子公司 BONDEX LOGISTICS

CORP.（以下簡稱“美國海程”）提前終止《租賃協議》。
為依託海運頭程運力資源優勢切入中美跨境電商物流業務，進一步完善北美區域尾程服務能力，構建跨境電商全鏈條服務體系，助力中國電商企業、平台和賣家實現“品牌出海”戰略，2022
年 4 月 12 日，公司下屬全資子公司美國海程與出租方 Palmtree Acquisition
Corporation（以下簡稱“Palmtree”）簽署《租賃協議》，根據該協議，Palmtree 將位於 8449 Milliken Avenue,
Unit 1, Rancho Cucamonga, California 91730.建築物內約 186,960
平方英尺的特定場地出租給美國海程，用於開展北美海外倉儲業務，租賃期自 2022 年 6 月 1 日至2029 年6 月30 日，租金合計 2,788.62
萬美元。
受全球經濟波動和貿易政策影響，市場需求不及預期導致運營成本居高不下，持續的履約成本已超過業務收益，鑑於此，公司擬進行戰略調整，優化供應鏈佈局，結合當前業務實際開展需求，調整海外倉儲的運營方式，採取更加靈活的倉儲模式，以此降低固定成本，提升資金流動性，保障業務的可持續性與市場競爭力。
基於上述情況，經友好協商，出租方Palmtree同意提前終止《租賃協議》，並於近日與美國海程簽署《FIRST
AMENDMENT TO EARLY LEASE
TERMINATION》（以下簡稱“《終止租賃協議》”）。根據《終止租賃協議》，雙方同意以2025年5月31日為租約期限的屆滿日，同時，承租人按租約需向出租方Palmtree支付335萬美元終止費，雙方確認不存在其他爭議糾紛。
因簽署提前終止租賃協議，公司本次實際發生的終止費用為335萬美元，其中，根據《企業會計準則第13號-或有事項》、《企業會計準則第8號－資產減值》及公司相關會計政策規定，本着謹慎性原則，公司已於2024年就提前終止租賃合同事項預計無法收回的保證金計提預計負債216.49萬美元，同時對租賃簽約時繳納的押金已累計計提信用減值損失99.15萬美元，剩餘終止費用19.36萬美元將相應減少公司2025年度利潤總額。
