中國外運(00598.HK)：招商船企減持路凱國際股權 阿布扎比主權基金接盤助力主業升級
格隆匯6月27日丨中國外運(00598.HK)發佈公告，2025年6月27日，招商船企(公司間接全資附屬公司)、 CITIC Capital Maneuver、FV Pallet、買方及路凱國際訂立股份購買協議，據此，買方有條件同意分別收購及招商船企、CITIC Capital Maneuver及FV Pallet分別有條件同意出售其持有路凱國際25%、3%及2%的股權。出售股份的總對價約爲5.67億美元(約爲人民幣40.58億元)。根據賣方各自出售股份的比例，招商船企、CITIC Capital Maneuver及FV Pallet各自出售股份的對價分別約爲4.72億美元(約爲人民幣33.82億元)，5665.95萬美元(約爲人民幣4.06億元)及3777.30萬美元(約爲人民幣2.71億元)。
路凱國際(即路凱國際控股有限公司，一家於英屬維爾京羣島註冊成立的有限責任商業公司)的主要業務爲澳洲、新西蘭、東南亞及大中華地區提供託盤、託盤籠╱架、生鮮筐╱箱、散貨物流箱及配套輔助設備的租賃、維修、清洗、殘值處置、批發、傭金代理和進出口，並提供上述產品的循環共用整合解決方案的相關諮詢和技術服務。於本公告日期，路凱國際由公司透過其間接全資附屬公司招商船企持有45%的股權，由CITIC Capital Maneuver及FV Pallet分別持有33%及22%的股權。買方(即MIC Industrial Investments 4 RSC LTD.)爲一家於阿布扎比全球市場註冊成立的特殊目的公司，由阿布扎比酋長國政府擁有的主權財富基金Mubadala Investment Company PJSC透過其全資附屬公司Mamoura Diversified Global Holdings PJSC持有100%的股權，主要從事股權投資。
於本公告日期，公司透過招商船企間接持有路凱國際45%股權，路凱國際爲公司的聯營企業；出售事項完成後，公司將透過招商船企間接持有路凱國際20%股權，路凱國際將繼續爲公司的聯營企業。通過出售事項，可以優化公司的資產結構，盤活釋放股權資產的潛在價值，又可將回收的資金用於公司核心主業發展，有力推動公司聚焦於主責主業的轉型升級，符合公司及其股東的長遠利益。此外，出售事項將豐富路凱國際股東背景，有利於路凱國際業務經營的穩定。
