順豐控股(06936.HK)全資子公司回購部分美元保證債券
格隆匯5月30日丨順豐控股(06936.HK)公吿，公司全資子公司SF Holding Investment Limited於2020年2月發行本金為7億美元於2030年到期的2.875%票面利率保證債券並在香港聯合交易所有限公司上市。公司全資子公司SF Holding Investment2021 Limited分別於2021年11月發行本金為5億美元，並於2022年1月增發本金為3億美元，於2031年到期的3.125%票面利率保證債券並在聯交所上市。2030年債券及2031年債券均由公司無條件及不可撤銷地擔保。
為優化公司資本結構、降低融資成本及匯兑風險，同時為2030年債券及2031年債券持有人提供資金流動性，SFHI及SFHI2021的董事會分別於2025年5月22日公吿宣佈，將以合共3.5億美元本金為最高接納金額上限對2030年債券及2031年債券分別提出現金要約回購。截至該要約前，2030年債券本金餘額為654,209,000美元，2031年債券本金餘額為720,000,000美元。
截至2025年5月30日，SFHI已接納2030年債券持有人按照回購要約條款已有效提交的債券本金金額合計為101,371,000美元(為截至本公吿日期2030年債券本金餘額的15.50%)，SFHI2021已接納2031年債券持有人按照回購要約條款已有效提交的債券本金金額合計為78,306,000美元(為截至本公吿日期2031年債券本金餘額的10.88%)。就該等有效提交併獲接納回購的2030年債券及2031年債券，SFHI將按2030年債券本金金額每1,000美元支付總價款943.50美元，並支付相應應計利息；SFHI2021將按2031年債券本金金額每1,000美元支付總價款937.00美元，並支付相應應計利息。全部有效提交併獲接納回購的2030年債券及2031年債券將在結算對價後被註銷。該要約的結算日預計約為2025年6月4日。
上述公司附屬子公司回購部分2030年債券及2031年債券不會對公司經營情況和財務狀況產生不利影響，不會損害公司及全體股東的利益。
