富創精密(688409.SH)：聯合投資人擬共同收購浙江鐠芯部分股權
格隆匯3月31日丨富創精密(688409.SH)公佈，公司將聯合共同投資人對特殊目的公司投資，其中公司擬向特殊目的公司投資人民幣
6 億元（以下稱“本次投資”）並持有該公司
27.65%股權。特殊目的公司擬收購浙江鐠芯控股權，根據特殊目的公司與上海萬業企業股份有限公司、青島民和祥元投資中心（有限合夥）等 11
名浙江鐠芯股東（以下合稱“非國資轉讓方”）簽署的《關於浙江鐠芯電子科技有限公司之股權收購協議》（以下簡稱“《股權收購協議》”）約定，浙江鐠芯
100%股權的定價爲 38 億元（以下簡稱“本次收購估值”），特殊目的公司擬向非國資轉讓方支付人民幣 24.48
億元收購浙江鐠芯64.42%的股權；此外，海寧市實業產業投資集團有限公司及中銀投資浙商產業基金管理（浙江）有限公司（以下合稱“國資轉讓方”）擬在近期履行完畢國有產權轉讓相關程序後，通過產權交易所公開掛牌轉讓其合計持有的目標公司
16.39%的股權，特殊目的公司將積極參與上述掛牌股權的競購。若特殊目的公司成功競得國資轉讓方持有的目標公司股份，且最終摘牌價格爲本次收購估值與國資轉讓方持有目標公司股權比例的乘積，則特殊目的公司將共計以約人民幣
30.71 億元的價格收購目標公司 13
名股東（以下簡稱“全體轉讓方”）合計持有的浙江鐠芯80.81%股權（以下稱“本次收購”，本次投資和本次收購合稱“本次交易”）。
鑑於浙江鐠芯間接持有
Compart Systems Pte. Ltd.（以下簡稱“Compart公司”）96.56%股權，本次收購完成後，特殊目的公司將間接持有 Compart
公司合計 78.03%股權並取得 Compart 公司控制權。公司間接持有 Compart 公司 21.58%股權，浙江鐠芯、Compart
公司均不納入公司合併報表範圍。
浙江鐠芯及其香港子公司爲特殊目的公司，無實際經營業務，其核心資產爲Compart
公司。Compart
公司（總部位於新加坡）是半導體氣體輸送系統領域的流量控制組件供應商，業務涵蓋研發設計、裝配測試及全產業鏈技術服務，產品包括氣體輸送零部件、焊件、密封件、氣棒總成、質量流量控制器組件等。作爲行業少數規模化企業，Compart
客戶覆蓋全球半導體設備龍頭廠商，平均合作超 10
