好萊客(603898.SH)：簽署投資合作協議及擬設立參股子公司
格隆匯3月10日丨好萊客(603898.SH)公佈，公司與好萊客、蜂助手於2025年3月10日簽署《投資合作協議》，擬共同投資設立合資公司。合資公司註冊資本5,000萬元，好萊客認繳出資2,500萬元，持股50%，由好萊客控股；好太太認繳出資額1,250萬元，持股25%；蜂助手認繳出資額1,250萬元，持股25%；各方均以貨幣方式出資。
合資公司將整合和發揮各方的資源及行業優勢，憑藉好萊客全屋定製產品和全渠道業態佈局，依託蜂助手數字商品資源、物聯網技術的優勢能力，以及結合好太太智能家居硬件產品矩陣及供應鏈整合能力，研發家庭端“智能融合網關”產品，實現全屋自動組網連接和智能控制，打造智能家居物聯網開放平台，通過轉售蜂助手提供的數字商品，構建高附加值智能家居產品生態體系，為消費者帶來更加便捷、舒適、安全的數字化生活體驗，提升家庭生活品質。
目標公司註冊資本為人民幣5,000萬元整。出資人以各自認繳的出資額為限對目標公司的債務承擔責任。好萊客認繳出資2,500萬元，佔股50%，貨幣方式出資，設立時認繳出資1,500萬元，在目標公司取得營業執照後1個月內繳足，剩餘認繳出資1,000萬元，在目標公司成立後5年內全部繳齊。蜂助手認繳出資1,250萬元，佔股25%，貨幣方式出資，設立時認繳出資750萬元，在目標公司取得營業執照後1個月內繳足，剩餘認繳出資500萬元，在目標公司成立後5年內全部繳齊。好太太認繳出資1,250萬元，佔股25%，貨幣方式出資，設立時認繳出資750萬元，在目標公司取得營業執照後1個月內繳足，剩餘認繳出資500萬元，在目標公司成立後5年內全部繳齊。
本次投資完成後，合資公司將整合和發揮各方的資源及行業優勢，研發家庭端“智能融合網關”產品，實現全屋自動組網連接和智能控制，打造智能家居物聯網開放平台，通過轉售蜂助手提供的數字商品，構建高附加值智能家居產品生態體系，助力公司進一步拓展市場渠道，擴大產品覆蓋範圍，為消費者提供更加便捷的體驗。有助於提升公司的綜合競爭力，強化未來持續盈利能力，為公司及公司股東創造更多價值。
