違規減持！山河智能創始人收警示函
12月25日晚間，山河智能發佈公吿稱，創始人何清華因違規減持股份，被湖南證監局出具警示函。
根據公吿，何清華在2021年7月13日至2024年11月4日期間，累計減持山河智能6098.13萬股，佔公司總股本的5.5124%。然而，在減持比例達到5%時，何清華未及時履行信息披露義務，並繼續減持了550.62萬股，超出了規定比例。
上述減持行為違反了《中華人民共和國證券法》第六十三條和《上市公司收購管理辦法》第十三條的相關規定。因此，湖南證監局依據《中華人民共和國證券法》第一百七十條第二款的規定，決定對何清華採取出具警示函的行政監管措施。
3年多減持股份比例超5%
公開資料顯示，山河智能成立於1997年，總部位於湖南省長沙市，是一家專注於工程機械的研發、生產和銷售的高新技術企業。
何清華，1946年生，湖南嶽陽人，為山河智能創始人。1999年，何清華白手起家成立了長沙山河工程機械有限公司，也就是山河智能的前身。山河智能於2006年12月在A股上市。
然而上市十餘年後，為化解股權質押風險，何清華出讓了公司控制權。2019年通過股權轉讓方式出讓公司實際控制權，山河智能由此易主。2022年何清華卸任公司董事長，2024年3月卸任公司名譽董事長。
70多歲的何清華在交出公司控制權後接連減持。
11月7日，山河智能披露的報吿顯示，何清華2021年進行了3輪減持，減持股份約3681萬股；2023年進行了1輪減持，減持股份1344萬股；2024年截至11月4日進行了3輪減持，減持約1073萬股。
何清華在實施上述減持行為前持有的公司股份比例為13.5394%，實施上述減持後持有的公司股份比例為8.027%。資料顯示，何清華目前為山河智能第三大股東。
值得一提的是，該公司高管近期也拋出減持計劃。
10月18日，山河智能披露，公司董事、副總經理張大慶計劃2024年11月11日至2025年2月10日通過集中競價方式減持公司股份不超過6萬股，佔公司總股本的0.0056%。
前三季度營收、淨利潤均下降
業績層面，2024年前三季度，山河智能營業收入和淨利潤均出現下降。
今年前三季度，山河智能實現營業收入51.65億元，同比減少1.85%；歸屬於上市公司股東的淨利潤3481.87萬元，同比減少25.59%。
拉長時間看，山河智能在2022年經歷了嚴重的業績下滑，但在2023年成功扭虧為盈，儘管2024年前三季度的淨利潤有所下降。
2022年全年營業收入為73.74億元，同比下降35.36%；淨利潤為-10.88億元，同比下降454.82%。2023年實現營收72.29億元，同比下降1.96%；淨利潤為4998.69萬億元，同比增長104.59%。
股市表現上，山河智能25日收升0.54%報7.43元/股，市值79.84億元。近2個月公司股價累計跌超7%。
