德祥地產(00199.HK)擬出售Alberni JV 10%權益，涉及合夥單位與貸款轉讓
格隆匯11月1日丨德祥地產(00199.HK)發佈公吿，集團已於2024年10月31日(聯交所交易時段結束後)進行下列交易，以出售其於Alberni JV所持10%權益。
(I)出售於Development LP的有限合夥人單位。 (i)公司的一間間接全資附屬公司ITCP Alberni Holdings，(ii)Development LP的現有有限合夥人Landa Alberni Holdings，及(iii)Development LP的普通合夥人1488 Alberni Holdings訂 立Development LP單位購買協議，據此，ITCP Alberni Holdings同意出售而Landa Alberni Holdings同意購買Development LP出售單位(佔Development LP資本中所有已發行有限合夥人單位的10%)，代價為加幣51.27萬元(相當於約港幣292.26萬元)。於2024年10月31日完成Development LP單位購買協議後，ITCP Alberni Holdings保 留於Development LP資本中已發行有限合夥人單位的18%權益。 Development LP的主要業務為連同Investment LP持有物業的實益權益。
(II)出售於Investment LP的有限合夥人單位。(i)ITCP Alberni Holdings，(ii)同為Investment LP的現有有限合夥人的Landa Alberni Holdings，及(iii)Investment LP的普通合夥人1488 Alberni Investment 訂 立Investment LP單位購買協議，據此，ITCP Alberni Holdings同意出售而Landa Alberni Holdings同意購買Investment LP出售單位(佔Investment LP資 本中所有已發行有限合夥人單位的10%)，代價為加幣1.75萬元(相當於約港幣9.95萬元)。於2024年10月31日完成Investment LP單位購買協議後，ITCP Alberni Holdings保留於Investment LP資本中已發行有限合夥人單位的18%權益。 Investment LP的主要業務為連同Development LP持有物業的實益權益。
(III) 轉讓來自該等有限合夥企業的應收貸款本公司的一間間接全資附屬公司定裕與Landa Alberni Holdings的一名股東Xpec Investments訂立貸款轉讓協議，據此，定裕有條件地將銷售貸款(即該等有限合夥企業結欠有限合夥人及╱或其聯屬公司的貸款及應計利息的10%)轉讓予Xpec Investments，總代價為加幣482.98萬元(相當於約港幣2753萬元)。
(IV)轉讓於Assets Builder的10%股。 權為反映ITCP Alberni Holdings於該等有限合夥企業中的按比例權益，定裕(為ITCP Alberni Holdings的唯一股東)與Landa Global Properties(為Landa Alberni Holdings的一間聯屬公司及Assets Builder的一名現有股東)訂立普通合夥股份轉讓協議，據此，定裕同意出售而Landa Global Properties同意購買銷售股份，佔於Assets Builder的10%股權，代價為加幣1.00元(相當於約港幣5.7元)。Assets Builder的唯一業務活動為持有1488 Alberni Holdings及1488 Alberni Investment各自的全部已發行股本。1488 Alberni Holdings及1488 Alberni Investment的唯一業務活動為擔任普通合夥人並分別持有Development LP 及Investment LP的唯一已發行普通合夥人單位。於普通合夥股份轉讓協議完成後(其亦於2024年10月31日完成)，定裕保留於Assets Builder的18%股權。
