美利信(301307.SZ)：擬通過全資子公司收購VOIT Automotive GmbH和Voit Polska Sp. Z o.o.股權
格隆匯10月23日丨美利信(301307.SZ)公佈，美利信全資子公司香港美利信擬在盧森堡設立特殊目的公司（SPV），以現金方式收購VOIT
Automotive GmbH 97%股權以及Voit Polska Sp. Z o.o.
100%股權。在收購完成的同時德國公司的債務得到部分豁免，主要包括德國公司對股東、ZF以及融資銀行的債務。
德國公司股權收購價採用“鎖箱機制”進行定價，以2023年12月31日為鎖箱日，若未出現價值漏損，則德國公司股權收購價保持不變。根據《股權收購及轉讓協議》的約定，德國公司97%股權的總購買價為3,484.00萬歐元。
波蘭公司的股權購買價採用“交割後價格調整機制”進行定價。交易雙方首先在SPA簽署日確定截至2023年12月31日波蘭公司的企業價值，然後在交割後通過對實際現金、負債和營運資本等進行調整後確定最終股權購買價。按照本次交易約定，以截至2024年4月30日波蘭公司財務報表參考計算，波蘭公司股權購買價格為1,190.56萬歐元。
標的公司主要從事鋁合金壓鑄、機加工及衝壓冷成型業務，致力於為全球汽車製造商和一級供應商客户提供汽車零部件。標的公司與上市公司處於同行業，本次交易完成後，上市公司主營業務未發生實質性改變。
通過本次收購，公司在歐洲將擁有本地化的生產製造基地及技術中心，能夠快速響應客户需求。標的公司客户包括採埃孚、博世、博澤等全球知名一級汽車零部件供應商，以及大眾、奧迪等全球知名整車廠。本次收購後，公司將利用標的公司的品牌及銷售渠道，加強與全球知名一級汽車零部件供應商和整車廠的合作，提升公司產品全球市場份額及品牌知名度。同時，標的公司亦可利用美利信在通信領域的客户資源開拓新業務。公司與標的公司在研發、生產、銷售、國際化管理等方面將產生多維度的協同效應，將顯著增強公司全球市場的競爭力。
