匯力資源(01303.HK)擬3520萬港元收購Mouton Investment 全部股本
格隆匯6月25日丨匯力資源(01303.HK)公吿，於2024年6月25日，買方(公司直接全資附屬公司)就收購事項與賣方朱煜信訂立買賣協議。根據買賣協議，買方已同意收購，而賣方已同意出售待售股份(即目標公司Mouton Investment Limited全部已發行股本)，代價為3520萬港元。公司會於完成交易後，按發行價每股代價股份約0.48港元配發及發行73,333,333股代價股份予賣方，藉此結付代價。股代價股份佔公司於本公吿日期現有已發行股本約3.8%；
目標公司為一間於香港註冊成立有限公司，主要從事投資控股業務。該公司為珠海木桐的控股公司。珠海木桐為一間於中國成立的有限公司，主要從事投資控股業務。該公司為潞源新能的控股公司。潞源新能為一間於中國成立的有限公司，主要從事(i)供應鏈管理服務；及(ii)一般貨物倉儲服務。
為掌握未來發展機遇，集團需進一步擴大集團的倉儲及供應鏈能力。目標集團的核心資產為兩個煤棚及煤棚的相關機械。兩個煤棚預計總儲存量為120,000噸煤炭。該煤棚位於中國山西省，鄰近本集團現有洗煤廠，位於中國長治縣東南面約16.7公里，由長治至高平的縣級柏油路及省道連接。其位於207國道東面5公里，距離晉長高速公路5.8公里。距離太洛公路2.5公里，距離太焦鐵路及東田良煤炭集運站2.5公里，公路與鐵路交通均十分便利。從營運角度來看，該地點位處黃金地段，可為集團的貿易業務提供額外的供應來源。
煤棚及專用設備可讓本公司滿足中國山西省客户的儲存、裝卸及煤炭混合需求，而收購事項將讓本集團透過提升煤炭業務的價值鏈。為本集團客户提供額外的倉儲及配煤服務，從而增強本集團的競爭力。收購事項將使本集團能夠即時獲得現有煤棚及專用設備，從而促進目標集團的經營整合到本集團現有業務中，擴大經營規模，創造新的成長動力。
董事會相信，監於目標集團主要從事上述活動，收購事項符合集團的發展策略，加強其現有的煤炭貿易業務及供應鏈管理服務能力及為其所在的中國煤炭行業提供服務。此外，收購事項將使集團利用收購目標集團所產生的協同效應，為集團創造長期及策略性增長機會。
