美中嘉和(02453.HK)與獨立第三方成立三家合夥企業 以尋求長期發展戰略機遇
格隆匯4月26日丨美中嘉和(02453.HK)公吿，為促進公司的戰略發展及業務運營需求，公司與獨立第三方成立了三家合夥企業，由獨立第三方作為普通合夥人管理合夥企業收購的三家附屬公司(即上海醫院、上海門診部及寧波佳和)的少數股權，以尋求符合公司長期發展的戰略機遇，有關詳情載列如下：
於2024年4月7日、2024年4月22日及2024年4月7日，公司與領復私募(獨立第三方)分別成立了合夥企業嘉學健康、上海信嘉泰及信馥企業。嘉學健康為有限合夥企業，領復私募為普通合夥人，公司為有限合夥人。所有合夥人對嘉學健康的出資總額為人民幣5億元，其中領復私募及公司分別出資人民幣1萬元及人民幣5億元。上海信嘉泰為有限合夥企業，領復私募為普通合夥人，公司為有限合夥人。所有合夥人對上海信嘉泰的出資總額為人民幣1億元，其中領復私募及公司分別出資人民幣1萬元及人民幣1億元。信馥企業為有限合夥企業，領復私募為普通合夥人，公司為有限合夥人。所有合夥人對信馥企業的出資總額為人民幣3001萬元，其中領復私募及公司分別出資人民幣1萬元及人民幣3000萬元。
於2024年4月26日，嘉學健康與上海醫院訂立上海醫院增資協議，據此(其中包括)，上海醫院同意配發及發行且嘉學健康同意以現金對價人民幣4.29億元認購上海醫院新增註冊資本人民幣4.29億元。由於上海醫院向嘉學健康配發及發行股份，因此股份配發及發行完成後，集團於上海醫院的權益將由99.50%攤薄至69.63%。根據上市規則第14.29條，有關攤薄被視為公司於附屬公司權益的視作出售。
於2024年4月26日，上海信嘉泰與上海門診部訂立上海門診部增資協議，據此(其中包括)，上海門診部同意配發及發行且上海信嘉泰同意以現金對價人民幣9550萬元認購上海門診部新增註冊資本人民幣2530萬元。由於上海門診部向上海信嘉泰配發及發行股份，因此股份配發及發行完成後，集團於上海門診部的權益將由86.44%攤薄至67.22%。根據上市規則第14.29條，有關攤薄被視為公司於附屬公司權益的視作出售。
於2024年4月26日，信馥企業與寧波佳和訂立寧波佳和增資協議，據此(其中包括)，寧波佳和同意配發及發行且信馥企業同意以現金對價人民幣3150萬元認購寧波佳和新增註冊資本人民幣2150萬元。由於寧波佳和向信馥企業配發及發行股份，因此股份配發及發行完成後，集團於寧波佳和的權益將由100%攤薄至69.93%。根據上市規則第14.29條，有關攤薄被視為公司於附屬公司權益的視作出售。
公司成立合夥企業及進行視作出售，聘請專業基金管理人管理其三家附屬公司的少數股權，並尋求符合公司長遠戰略發展及業務運營需求的戰略機遇。就由獨立第三方注入註冊資本的三家附屬公司而言，公司仍為其最終控股股東。
