日播時尚(603196.SH)：終止重大資產重組
格隆匯11月5日丨日播時尚(603196.SH)公佈，公司於2023年5月15日召開第四屆董事會第六次會議，審議通過了《關於<日播時尚集團股份有限公司重大資產置換及發行股份購買資產並募集配套資金暨關聯交易預案>及其摘要的議案》等相關議案。公司擬通過資產置換和發行股份的方式購買上海錦源晟新能源材料有限公司(以下簡稱“錦源晟”、“標的公司”)100%股權，並向特定投資者發行股份募集配套資金(以下簡稱“本次交易”)。
為保護股東利益，實現公司的持續健康發展，公司決定進行本次交易，引入具有廣闊市場空間和發展前景的新能源電池正極前驅體材料及上游關鍵礦產資源一體化的研究、開發和製造業務。本次交易完成後，公司將成功實現業務轉型，業務成長性及盈利能力得以加強，未來發展空間得到拓展。本次交易完成後，錦源晟將成為公司的子公司，本次交易預計構成重大資產重組、關聯交易以及重組上市。
公司於2023年11月5日召開了第四屆董事會第十二次會議和第四屆監事會第十二次會議，分別審議通過了《關於終止重大資產置換及發行股份購買資產並募集配套資金暨關聯交易事項及簽署終止本次重大資產重組相關協議的議案》，同意終止本次交易事項，並與交易對方簽署交易終止協議。
由於標的公司位於剛果(金)及印尼的金屬礦產資源開發和冶煉加工資產的盡調、審計和評估工作涉及較多的與項目合作方及當地相關政府機構的溝通協調，整體盡調核查工作量較大，複雜程度較高，暫時無法明確具體完成時間，公司預計不能在本次交易首次董事會決議公吿後6個月內發出召開股東大會通知。本着對上市公司負責、對公眾市場負責的原則，為維護公司中小股東的利益，公司與重組相關方審慎研究後，決定終止本次重大資產重組事項。2023年11月5日，公司與梁豐等交易對方簽署交易終止協議，同意終止本次交易，各方均不存在違約行為，亦不存在任何糾紛或潛在糾紛。
