中國新城市(01321.HK)：聯交所批評公司及多名董事
格隆匯12月28日丨中國新城市(01321.HK)發佈公吿，香港聯合交易所有限公司批評：(1)該公司；(2)該公司執行董事兼首席執行官施南路先生；(3)該公司前執行董事董水校先生；(4)該公司前執行董事金妮女士；及(5)該公司非執行董事兼主席施中安先生。
及進一步指令：(1)檢討該公司有關促使其遵守《上市規則》第十四章及第十四A章的規定的內部監控措施；(2)施先生、金女士及施主席須於90日內完成21小時有關監管及法律議題以及《上市規則》合規事宜的培訓，當中包括以下內容各至少3小時：(i)董事職責；(ii)《企業管治守則》；(iii)聯交所《上市規則》第十四章的規定；及(iv)聯交所《上市規則》第十四A章的規定（培訓）；及(3)董先生日後若要再獲委任為任何聯交所上市公司或將於聯交所上市的公司的董事，先決條件是完成21小時培訓。
於2014年至2022年4月期間，該公司多次向其控股股東集團提供經常性貸款(分別為該控股股東集團及該等貸款)。該等貸款構成須予公佈及／或關連的交易。於上述年間，該控股股東集團亦多次向該公司提供經常性貸款。於截至12月31日止的2015年、2019年及2020年財政年度，從該控股股東集團的應收金額均高於應付該公司的金額。儘管應收及應付該控股股東集團的金額於該公司的2014年至2021年各年的年報中均有作出披露，該公司直至2022年4月28日才刊發有關該等貸款的公吿。
所有相關董事(除施主席外)均批准了部分或全部該等貸款。於提供該等貸款時，施主席兼任該控股股東集團主席。該公司承認就該等貸款未有遵守上述規定。各相關董事承認其違反《上市規則》第3.08條及《上市規則》附錄五B表格的《董事的聲明及承諾》中的責任，其中表明他們承諾盡其所能促使該公司就該等貸款遵守《上市規則》。
上市委員會裁定以下事項：(1)該公司就構成須予公佈及／或關連交易的該等貸款未能遵守因而違反了《上市規則》第14.34、14.38A、14.40、14.48、14.49、14A.35、14A.36及14A.46條的規定。(2)所有相關董事均批准了及／或知悉該等貸款，但並沒有盡力促使該公司就該等貸款遵守《上市規則》的規定，因此違反了《上市規則》第3.08條及其《承諾》。
