老恆和釀造(02226.HK)：建議強制執行針對一名控股股東股權的股份抵押
格隆匯12月16日丨老恆和釀造(02226.HK)公佈，有關香港高等法院針對Key Shine發出的臨時禁制令公佈，禁止Key Shine出售、買賣、轉讓、出讓、轉交或以其他方式出售KeyShine名義下公司的任何股權("禁令")。
根據Key Shine(作為抵押人)與吳興香港(作為承押人)訂立的日期為2019年4月2日的股份抵押契據("吳興股份抵押")，Key Shine以吳興香港為受益人抵押公司2.29億股股份("抵押股份")，佔公司已發行股份約39.64%。公司董事會近期獲通知，吳興香港正計劃強制執行其有關抵押股份的權利("建議強制執行")，惟須待(其中包括)解除禁令。
於公佈日期，Key Shine由公司前董事及公司的控股股東陳衞忠全資擁有。由於發生部分違約行為，吳興香港有權指示抵押股份的託管人("託管人")根據吳興香港發出的指示，轉移或交付Key Shine於託管人備存的證券賬户("證券賬户")內全部或部分抵押股份，以強制執行其於抵押股份的權利。公司瞭解到吳興香港正計劃進行建議強制執行，此舉將導致全部或部分抵押股份由(i)吳興香港(或其母公司或同系附屬公司)；或(ii)第三方買方(「潛在買方」)接納。
公司獲悉，公司一名主要股東Natural Seasoning針對(其中包括)Key Shine取得禁令，理由為Key Shine及陳衞忠已違反據稱由Natural Seasoning與Key Shine╱陳衞忠於2016年訂立有關(其中包括)公司營運及公司股份出售限制的若干協議。據公司所知，禁令的下一次實質性聆訊已押後至經同意待定的日期。
公司獲悉，吳興香港與Natural Seasoning於2022年11月4日簽署具法律約束力的書面備忘錄，據此(其中包括)(i)Natural Seasoning同意於公司恢復交易日期向香港高等法院申請解除禁令；及(ii)作為迴應，吳興香港同意就解除禁令向Natural Seasoning支付若干補償。公司進一步獲悉吳興香港預計禁令將於申請日期起兩個月內解除，惟須視乎法院的最終裁決而定。建議強制執行(倘落實)將於申請之日起約七個月完成。
