大族激光(002008.SZ)：擬向大族鋰電智能裝備增資7.4億元並實施員工持股計劃
格隆匯10月31日丨大族激光(002008.SZ)公佈，為適應公司戰略發展需要，加快推進動力電池行業專用設備業務的發展，公司擬向全資子公司深圳市大族鋰電智能裝備有限公司(“大族鋰電”)增資73975.7萬元。
其中，大族激光直接增資42000萬元；剩餘31975.70萬元擬通過深圳市族鋰聚賢諮詢合夥企業(有限合夥)(“族鋰聚賢”)、深圳市族能聚賢諮詢合夥企業(有限合夥)(“族能聚賢”)及深圳市族鋰聚才諮詢合夥企業(有限合夥)(“族鋰聚才”)間接增資。此次增資定價參考國眾聯資產評估土地房地產估價有限公司對大族鋰電截至2022年7月31日股東全部權益的評估值，並由各方協商確定大族鋰電的投前估值為10.25億元。
綜上，大族激光、族鋰聚賢、族能聚賢、族鋰聚才分別擬以42000萬元、19783.1萬元、6739.3785萬元和5453.5215萬元認繳大族鋰電新增註冊資本9834.1463萬元、4632.1404萬元、1578.0008萬元和1276.9221萬元。此次增資完成後，大族激光、族鋰聚賢、族能聚賢、族鋰聚才將分別持有大族鋰電81.88%、11.21%、3.82%和3.09%的股權。
為增強公司及大族鋰電核心團隊的凝聚力，建立利益共享、風險共擔的長效激勵約束機制，吸引和留住人才，公司擬將增資完成後持有的族鋰聚賢、族能聚賢、族鋰聚才財產份額轉讓給大族激光員工及大族鋰電核心員工設立的員工持股平台，用於實施員工持股計劃。
其中，首次授予部分份額合計不超過26522.2785萬元(對應此次增資後大族鋰電不超過15.03%的股權)。首次授予定價按照此次增資後大族鋰電的股權價值176476萬元(其中包含此次增資前大族鋰電的投前估值10.25億元及此次對大族鋰電現金增資73976萬元)確定。公司將在此次員工持股計劃經董事會審議通過之日起3個月內，完成首次授予的財產份額轉讓工商登記。剩餘部分，公司將預留用於未來符合此次員工持股計劃規定的員工參與大族鋰電持股。
此次增資及員工持股計劃實施完成後，公司持有大族鋰電的權益比例將由100%降至約81.88%，大族鋰電仍納入公司合併報表範圍。
