浙江仙通(603239.SH)：台州金投旗下子公司擬受讓16.62%的股份
格隆匯9月25日丨浙江仙通(603239.SH)公佈，2022年9月25日，公司控股股東、實控人李起富以及持股5%以上的股東金桂雲、邵學軍與台州五城產業發展有限公司(台州五城產業發展有限公司系台州市金融投資集團有限公司的全資子公司)簽署了《股份轉讓協議》，李起富、金桂雲、邵學軍擬向台州五城產業發展有限公司轉讓其合計持有的4500萬股(佔公司股份比例的16.62%），轉讓價格為人民幣17.5元/股，轉讓總價款合計人民幣7.875億元。此次權益變動不涉及要約收購。
此次股份轉讓的後續安排：
此次股份轉讓交易完成過户後的下一個自然年度內，李起富、金桂雲、邵學軍應將其屆時合計持有公司25%股票(無限售條件流通股3375萬股股份，對應此次股份轉讓協議簽署時公司股份比例為12.47%)以及由此所衍生的所有股東權益轉讓給台州市金融投資集團有限公司(“台州金投”)或其指定第三方(包括但不限於台州五城產業發展有限公司)。第二次股份轉讓交易由雙方屆時另行簽署股份轉讓協議進行約定。
同時公司控股股東、實際控制人李起富承諾在此次股份轉讓交易過户完成後18個月內(第二次股份轉讓交易項下股份轉讓過户完成後辦理)減持公司股票，減持股票數量為其屆時持有的上市公司股票數量的20%(無限售條件流通股1437.75萬股，對應此次股份轉讓協議簽署日上市公司股份比例為5.31%)。李起富同意自此次交易的交割日起放棄行使其持有的公司6768萬股股份(對應公司股份比例為25%)的表決權，放棄期限截至上述的股份減持完成之日。李起富在簽署此次股份轉讓協議的同時，簽署所持6768萬股股份表決權放棄承諾書。
此次股份轉讓交易完成，並且李起富簽署完所持6768萬股股份表決權放棄承諾書後，公司的控制權將發生變更，公司的實際控制人將變更為台州金投。
此次放棄表決權為臨時性、暫時性安排。若李起富在上述期限內完成股份轉讓和減持承諾事宜，及時恢復其表決權。所有交易順利完成，最終台州五城產業發展有限公司或台州金投指定第三方將合計持有公司7875萬股股份，公司的控股股東以及實際控制人將變更為台州金投；如協議約定的第二次交易未在約定期限內完成或提前終止的，協議約定的相關事項失效，及時恢復李起富的表決權。公司的控股股東以及實控人將不發生變更，仍是李起富。
