合生創展集團(00754.HK)擬7.9億元收購上海黃浦區豫園地塊 計劃發展成為40座中式別墅
格隆匯8月3日丨合生創展集團(00754.HK)公佈,於2022年8月3日,(i)買方上海合博房地產諮詢有限公司(一家公司的全資附屬公司);(ii)出讓方(公司的一名關連人士);及(iii)目標公司上海博禎置業有限公司(出讓方的一家全資附屬公司及公司的一名關連人士)訂立了該轉讓協議。根據該轉讓協議,出讓方同意出售而買方同意以人民幣7.90億元的現金對價收購目標公司的100%股權。
目標股權的權屬於相關中國政府部門由出讓方變更登記至買方名下須待該轉讓協議項前置下條件達成(或得到豁免,如適用)後方可作實,包括但不限於目標股權現有的質押已經解除及買方滿意有關對目標公司的盡職調查之結果。
目標公司於2017年取得了位於中國上海市黃浦區黃金地段豫園的一塊土地(即目標地塊)。在取得了目標地塊後,目標地塊的容積率下降了。作為補償,該項損失的土地開發權益可以轉移到上海其他區域的屬同一方擁有(或最終由同一方擁有)之土地上。珠江集團(即出讓方所屬的集團)目前於上海市無可供該項損失的土地開發權益轉入的土地,但本公司於上海市楊浦區有可供該項損失的土地開發權益轉入的土地。
目標地塊僅可作住宅用途。公司計劃把目標地塊發展成為40座中式別墅,目標客户為正在尋找最高端質量物業(處於頂級地段且擁有厚重文化底藴)的人羣。於公吿日期,預計開發項目的施工將於2023年3月或前後開始,並於2024年5月或前後開始預售。
根據目前的市場及公司合理預測結合該項損失的土地開發權益轉移至公司上海楊浦區的其他土地及目標地塊之預期回報,公司認為該收購能帶來非常可觀的收益,從而提升公司的資產淨值。
