中國鋁業(02600.HK)擬約66.62億元收購雲鋁股份19%股權
格隆匯7月24日丨中國鋁業(02600.HK)公吿，2022年7月24日，經第八屆董事會第二次會議審議通過，公司與雲南冶金訂立股份轉讓協議，據此，公司同意收購而云南冶金同意出售雲鋁股份658,911,907股股份(約佔雲鋁股份已發行股本總額的19%)。
上述股份轉讓完成後，公司將持有云鋁股份1,009,202,685股股份(約佔雲鋁股份已發行股本總額的29.10%)，雲鋁股份財務業績將在公司財務報表中合併入賬，雲鋁股份將成為公司的附屬公司。標的股份的每股轉讓價格為人民幣10.11元╱股，轉讓價款合計人民幣66.62億元。
雲鋁股份為一間在中國註冊成立的股份有限公司，其A股於深圳證券交易所上市(股票代碼：000807)。
於公吿日期，雲南冶金持有云鋁股份1,109,818,170股股份(約佔雲鋁股份已發行股本總額的32.00%)，為雲鋁股份的控股股東；公司持有云鋁股份350,290,778股股份(約佔雲鋁股份已發行股本總額的10.10%)。雲南冶金所持雲鋁股份1,109,818,170股股份的成本指雲南冶金多年來所投資的金額，約為人民幣41.65億元。
雲鋁股份的經營範圍包括重熔用鋁錠及鋁加工製品、炭素及炭素製品、氧化鋁的加工及銷售；建築材料、裝飾材料、金屬材料，傢俱，普通機械、汽車配件、五金交電、化工產品(不含管理產品)，陶瓷製品，礦產品，日用百貨的批發、零售、代購、代銷；硫酸銨化肥生產；摩托車配件、化工原料、鋁門窗製作安裝、室內裝飾裝修工程施工；貨物進出口、普通貨運，物流服務(不含易燃易爆，危險化學品)，物流方案設計及策劃；貨物倉儲、包裝、搬運裝卸；境外期貨套期保值業務(憑許可證經營)；鋼結構工程專業承包；爐窖工程專業承包。
本次交易有利於進一步解決公司與雲鋁股份的同業競爭問題，有效減少公司的日常關聯交易；雲鋁股份併入公司後，有助於進一步提升公司的行業地位和盈利能力，依託雲鋁股份在清潔能源上的優勢，進一步提升公司綠色鋁產能佔比，有利於推動公司綠色低碳高質量發展；同時，可以更好發揮公司與雲鋁股份在業務和管理上的協同性，實現鋁產業一體化、集約化管理，為公司帶來可持續的投資回報。
近年來，雲鋁股份業績良好，公司收購雲鋁股份股權亦有利於優化公司財務指標，提升公司核心競爭力和價值，符合公司及股東的整體利益。
